Stock Option Modifications

On October 1, 2026, our Board of Directors approved modifications to certain outstanding stock option awards under the 2021 Equity Incentive Plan, including the acceleration of vesting of 3,071,250 stock options held by 28 former employees and consultants. Separately, as part of the Company's executive leadership transition, our Board of Directors approved the acceleration of vesting of 490,000 stock options held by Kitty B. Payne, the Company's former Chief Financial Officer. In addition, the post-termination exercise periods for certain affected awards were extended from 3 months to one year following the applicable termination dates, subject to the original expiration dates of the awards. The Company estimates that these modifications will result in approximately $2.2 million of incremental stock-based compensation expense, expected to be recognized in the fourth quarter of 2026.
Amendment to Master Loan Agreement and Collateral Arrangements

In connection with the Company's ongoing liquidity management and digital asset treasury activities, on October 12, 2026, the Company entered into a Second Addendum to Master Loan Agreement (the “Second Addendum”) with the Lender, amending its previously disclosed MLA. The Second Addendum increases the aggregate borrowing commitment under the MLA from $25.0 million to $40.0 million, subject to the terms and conditions of the MLA and the execution of individual loan term sheets. As of the date of this filing, $21.0 million of principal remained outstanding under the MLA, leaving $19.0 million of additional borrowing capacity, subject to the applicable borrowing conditions and collateral requirements. Additionally, in connection with the Second Addendum, the Company also amended its existing account control agreement governing Bitcoin collateral securing borrowings under the MLA. The amendment permits cross-collateralization of obligations under the MLA and certain digital asset derivative transactions, subject to the terms of the applicable agreements.
