Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(c) On October 26, 2026, the Board of Directors (the “Board”) of the Federal Home Loan Bank of New York (the “FHLBNY”) approved the appointment of Adam S. Goldstein, age 52, as President and Chief Executive Officer (“CEO”) of FHLBNY, effective November 9, 2026 (the “Start Date”). Mr. Goldstein verbally accepted the appointment on November 4, 2026. Mr. Goldstein, who has served as Senior Vice President and Chief Business Officer of the FHLBNY since 2015, will succeed Jonathan West, who has served as Interim President and CEO since October 20, 2026, and who will return to his role as Chief of Staff/Senior Advisor as of the Start Date.
In connection with the appointment, the FHLBNY and Mr. Goldstein entered into an offer letter dated November 5, 2026 (the “Offer Letter”). Under the Offer Letter, Mr. Goldstein will receive an annual base salary of $875,000 and fringe benefits commensurate with his role as President and CEO. Mr. Goldstein will also continue to be a participant in FHLBNY's 2026 Incentive Compensation Plan and the FHLBNY Non-qualified Deferred Compensation Plan, in accordance with the terms of the respective plans. In addition, Mr. Goldstein will remain eligible to participate in the FHLBNY's Amended and Restated Severance Pay Plan and participate in the employee benefit arrangements he participated in as of the date of the Offer Letter. Mr. Goldstein will also continue to be party to his Executive Change in Control Agreement with the FHLBNY. The 2026 Incentive Compensation Plan was filed as Exhibit 10.05 to the FHLBNY's Current Report on Form 8-K filed on March 5, 2026, and the Amended and Restated Severance Pay Plan, the Non-qualified Deferred Compensation Plan, and the form of Executive Change in Control Agreement were filed as Exhibits 10.07, 10.08. and 10.11, respectively, to the FHLBNY's Annual Report on Form 10-K for the year ended December 31, 2025. Each is incorporated herein by reference.
Mr. Goldstein has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K. There are no family relationships between Mr. Goldstein and any of the FHLBNY’s directors or executive officers, and there are no arrangements or understandings between Mr. Goldstein and any other person pursuant to which Mr. Goldstein was selected as President and CEO.
Item 7.01 Regulation FD Disclosure
On November 6, 2026, the FHLBNY issued a news release announcing Mr. Goldstein’s appointment as President and Chief Executive Officer. A copy of the news release is furnished with this report as Exhibit 99.1.
