| Material Terms of Trading Arrangement | During the quarter ended September 27, 2026, our directors and officers (as defined in Rule 16a-1(f) under the Exchange Act) adopted or terminated the contracts, instructions or written plans for the purchase or sale of Arlo’s securities set forth in the table below:
(1)Contract, instruction or written plan intended to satisfy the affirmative defense conditions of Rule 10b5-1(c) under the Exchange Act. (2)“Non-Rule 10b5-1 trading arrangement” as defined in Item 408(c) of Regulation S-K under the Exchange Act. (3)Adopted for personal tax planning purposes. (4)This plan covers shares underlying certain of Mr. Binder’s equity awards, and with respect to certain of the equity awards, this plan is designed to sell a specified percentage of the net shares underlying such equity awards delivered after tax withholding, and the actual number of shares to be sold will depend on (i) the vesting of the shares underlying such equity awards, which is based upon the level of achievement of certain financial milestones relating to annual recurring revenue and gross margin, and (ii) state and federal tax rates applicable on the relevant vesting date. With respect to certain of the equity awards in this plan, Mr. Binder has designated certain target prices for the sale of shares, and if our stock is not trading at or above such target prices, the shares cannot be sold.
