Explanation of Responses:
1. The Common Shares of Beneficial Interest, par value $0.001 per share ("Common Shares"), of Third Point Private Capital Income Fund (the "Issuer") were acquired by Delticus Opportunities Fund LLC ("Delticus") pursuant to a subscription agreement between Delticus and the Issuer entered into on October 1, 2026, the form of which was previously filed as Exhibit 10.5 to the Issuer's Registration Statement on Form 10, as amended, as filed with the SEC on September 30, 2026. Pursuant to such subscription agreement, Delticus's subscription to purchase Common Shares was accepted on October 1, 2026, and the number of Common Shares purchased by Delticus was fixed on November 3, 2026, when the purchase price per share was determined by the Issuer. Share amounts were determined by dividing the applicable funded subscription amount by the applicable NAV/per-share price.
2. The securities of the Issuer reported herein include the 160,000 Common Shares described in Footnote 1 and the 1,000 Common Shares held directly by Third Point Private Capital LLC, which serves as the investment advisor to the Issuer (the "Advisor"). The acquisition of such Common Shares by the Advisor was previously reported by the Advisor on the Form 3 filed with the SEC on October 20, 2026.
3. The Advisor and Delticus are managed or advised by Third Point LLC ("Third Point"). Daniel S. Loeb is the Chief Executive Officer of Third Point. By reason of the provisions of Rule 13d-3 and under the Securities Exchange Act of 1934, as amended, Third Point and Mr. Loeb may be deemed to be the beneficial owners of the securities held by or on behalf of the Advisor and Delticus. Third Point and Mr. Loeb each hereby disclaims beneficial ownership of all such securities, except to the extent of any indirect pecuniary interest therein.
