1. Nature Of Business (Business and Organization)

Real REMAX Group Inc. (the “Company") is a technology-enabled global real estate services company engaged in residential real estate brokerage, real estate franchising, and other adjacent real estate services. On August 24, 2026, The Real Brokerage Inc. (“Real”) completed its acquisition of RE/MAX Holdings, Inc. (“REMAX”), and, pursuant to the merger agreement governing the acquisition, both Real and REMAX became subsidiaries of the Company, which was a newly formed holding company (the “Transaction”). See Note 5, Acquisitions, for additional information.

Under the Real brand the Company operates a digital real estate brokerage platform throughout the United States (“U.S.”) and Canada. Revenue from these operations is generated primarily from commissions earned on real estate transactions.

Under the REMAX brand the Company operates a global real estate franchise network. REMAX-branded brokerages are independently owned and operated. Revenue is generated principally from continuing franchise fees, annual dues, broker fees and franchise sales and renewals.

The Company’s other businesses include mortgage brokerage, title and escrow services, financial technology solutions, and lending products, conducted primarily through One Real Mortgage, One Real Title, Real Wallet, Motto Mortgage and wemlo. The Company is no longer selling new Motto Mortgage franchises.

Through its brokerage, franchising, and other service offerings, the Company provides real estate professionals with technology, brand recognition, operational support, and business growth opportunities across the real estate lifecycle.
