Officer and Director Fees
The Company recorded consulting service fees to officers of $442,000 and $403,000 for the nine-month periods ended September 30, 2026 and 2025, respectively, and $140,000 and $134,000 for the three-month periods ended September 30, 2026 and 2025, respectively, which are included in selling, general and administrative expenses.
The Company recorded fees to directors of $56,000 for each of the nine-month periods ended September 30, 2026 and 2025, and $19,000 for each of for the three-month periods ended September 30, 2026 and 2025, which are included in selling, general and administrative expenses.
Share Exchange with Former OmniMetrix Chief Executive Officer
On August 17, 2026, Acorn issued shares of its common stock to Walter Czarnecki, the former Chief Executive Officer of OmniMetrix, in exchange for his shares of Series A preferred stock of OMX and the accrued dividends of approximately $28,500 on those shares. See Note 9.
