| Related Party Transactions | 13. Related Party Transactions Fairmount, Venrock, Paragon, Paragon Laboratories and Parasa have been identified as related parties of Korsana and have engaged in material transactions with the Company for the nine months ended September 30, 2026. The Company entered into significant related party transactions with the Paragon ADOA, the Paragon License Agreement, Paragon POA, and Paragon Research Letter Agreement (see Note 9). In connection with the Pre-Closing Financing, entities affiliated with Fairmount and Venrock purchased securities for aggregate purchase prices of $75.0 million and $60.0 million, respectively. Entities affiliated with Fairmount purchased 6,530,012 shares of Pre-Merger Korsana common stock (as adjusted for the Exchange Ratio) and pre-funded warrants to purchase 47,654 shares of Pre-Merger Korsana common stock. Entities affiliated with Venrock purchased 3,047,949 shares of Pre-Merger Korsana common stock (as adjusted for the Exchange Ratio) and pre-funded warrants to purchase 2,214,181 shares of Pre-Merger Korsana common stock. Additionally, as of the date of this Quarterly Report, Fairmount and Venrock each have 2 members on the Company's board of directors. Directors' fees associated with these seats were not material for the nine months ended September 30, 2026 and were nil for the nine months ended September 30, 2025. |
