| Subsequent Events | Note 20 Subsequent Events
Subsequent events are events or transactions that occur after the condensed consolidated balance sheet date, but before the condensed consolidated financial statements are issued. The Company recognizes in the condensed consolidated financial statements the effects of all subsequent events that provide additional evidence about conditions that existed at the date of the condensed consolidated balance sheet, including the estimates inherent in the process of preparing the condensed consolidated financial statements. The Company’s condensed consolidated financial statements do not recognize subsequent events that provide evidence about conditions that did not exist at the date of the condensed consolidated balance sheet but arose after the condensed consolidated balance sheet date and before the condensed consolidated financial statements were issued. The Company evaluated events and transactions occurring subsequent to September 30, 2026 through the date the condensed consolidated financial statements were filed with the SEC. Based on this review, management determined that no subsequent events occurred that require adjustment to or disclosure in these condensed consolidated financial statements other than the non-recognized subsequent events described below. On October 8, 2026, the Company repaid in full the $75.0 million of outstanding principal under its Debt Facility, together with accrued interest, using cash on hand, and terminated the Debt Facility. On November 3, 2026, Dave Operating LLC entered into a Second Amendment to the Program Agreement, dated February 27, 2025, as amended, with Coastal Community Bank. This Second Amendment revised and replaced certain provisions of the Program Agreement related to certain receivables associated with the program. Pursuant to the Second Amendment, ExtraCash receivables in an amount up to $325 million, and credit card receivables in an amount up to $25 million, will be maintained on the balance sheet of Coastal. The Second Amendment did not modify the periods of time that receivables are maintained on the balance sheet of Coastal before being sold to the Company. The Second Amendment also amends the descriptions of the program’s accounts, features and services to account for new product features. |
