| Subsequent Events | Note 18 — Subsequent Events
Subsequent to September 30, 2026, VCP and a Green Thumb affiliate (a related party) amended the August 2025 licensing agreement to add the Company’s Señorita intellectual property and increase the fixed annual fee by $250 thousand. The amendment also provides that, to the extent the Company is legally permitted, consistent with applicable Nasdaq listing standards, to commercialize Señorita outside state-regulated cannabis dispensary channels, the Company will have the exclusive right to do so and the affiliate’s rights will be limited to state-regulated cannabis dispensary channels. All other terms of the licensing agreement remain unchanged.
The Company evaluated subsequent events and transactions that occurred after the balance sheet date up to the date that the unaudited condensed consolidated financial statements were issued. |
