In 2020, the Company acquired Celsee, Inc. (“Celsee”), which developed and manufactured instruments and consumables for the isolation, detection, and analysis of single cells. During the third quarter of 2026, the Company decided to reduce research and development and marketing investment in single-cell products acquired in the Celsee acquisition, including closing the related facility under the restructuring plan. As a result, the Company determined that the carrying value of the acquired developed technology was not recoverable and recorded an impairment charge of $49.8 million, reducing its carrying value to zero. Fair value used in the impairment measurement was determined using an income approach based on Level 3 inputs. The expense is included in Impairment of purchased intangibles in the condensed consolidated statements of income (loss) for the three and nine months ended September 30, 2026, within the Life Science segment.
