EXPLANATORY NOTE
This Amendment No. 1 on Form 10-K/A (the “Amendment”) amends the Annual Report on Form 10-K of Hartman vREIT XXI, Inc. (the “Company”) for the fiscal years ended December 31, 2024 and 2023, originally filed with the Securities and Exchange Commission on November 2, 2026 (the “Original Form 10-K”).
This Amendment is being filed to correct certain dates inadvertently reflected in the Original Form 10-K and to present the corrected report of the independent registered public accounting firm. Specifically:
1. The dates appearing in the signature section of the Original Form 10-K, including the signatures of Allen R. Hartman, Jeffrey L. McFerrin and J. Allen Quine, are corrected from October 29, 2026 to November 2, 2026.
2. The Report of Independent Registered Public Accounting Firm issued by M&K CPAS, PLLC is amended to (i) correct the report date from October 29, 2026, to November 2, 2026, and (ii) correct the Going Concern wording in two sections of the report: the paragraph under the “Going Concern” heading and the paragraph under “Going Concern” within the “Critical Audit Matters” section, to conform to the final audit opinion provided by M&K CPAS, PLLC. The corrected report is included in Item 8 of this Amendment.
ITEM 8. FINANCIAL STATEMENTS AND SUPPLEMENTARY DATA
The following corrected Report of Independent Registered Public Accounting Firm replaces the M&K CPAS, PLLC report appearing on pages F-1 and F-2 of the Original Form 10-K. The consolidated financial statements and related notes are unchanged by this Amendment.
Report of Independent Registered Public Accounting Firm
To the Board of Directors and Stockholders of Hartman vREIT XXI, Inc
Opinion on the Financial Statements
We have audited the accompanying consolidated balance sheets of Hartman vREIT XXI, Inc. (the Company) as of December 31, 2024 and 2023, and the related consolidated statements of operations, stockholders’ equity, and cash flows for each of the years in the two-year period ended December 31, 2024, and the related notes (collectively referred to as the consolidated financial statements). In our opinion, the consolidated financial statements present fairly, in all material respects, the financial position of the Company as of December 31, 2024 and 2023, and the results of its consolidated operations and its cash flows for each of the years in the two-year period ended December 31, 2024, in conformity with accounting principles generally accepted in the United States of America. The consolidated financial statements of Hartman vREIT XXI, Inc., as of December 31, 2022, were audited by other auditors whose report dated August 22, 2025, expressed an unqualified opinion on those consolidated financial statements.
Going Concern
The accompanying consolidated financial statements have been prepared assuming the Company will continue as a going concern. As discussed in Note 2 to the consolidated financial statements, there is uncertainty about the ability of the Company to meet certain loan covenant requirements, which raises substantial doubt about its ability to continue as a going concern. Management's evaluation of the events and conditions and management’s plans in regarding these matters are also described in Note 2. The consolidated financial statements do not include any adjustments that might result from the outcome of this uncertainty.
Basis for Opinion
These consolidated financial statements are the responsibility of the Company’s management. Our responsibility is to express an opinion on the Company’s consolidated financial statements based on our audits. We are a public accounting firm registered with the Public Company Accounting Oversight Board (United States) (PCAOB) and are required to be independent with respect to the Company in accordance with the U.S. federal securities laws and the applicable rules and regulations of the Securities and Exchange Commission and the PCAOB.
We conducted our audits in accordance with the standards of the PCAOB. Those standards require that we plan and perform the audits to obtain reasonable assurance about whether the consolidated financial statements are free of material misstatement, whether due to error or fraud. The Company is not required to have, nor were we engaged to perform, audits of its internal control over financial reporting. As part of our audits, we are required to obtain an understanding of internal control over financial reporting, but not for the purpose of expressing an opinion on the effectiveness of the Company’s internal control over financial reporting. Accordingly, we express no such opinion.
Our audits included performing procedures to assess the risks of material misstatement of the consolidated financial statements, whether due to error or fraud, and performing procedures that respond to those risks. Such procedures included examining, on a test basis, evidence regarding the amounts and disclosures in the consolidated financial statements. Our audits also included evaluating the accounting principles used and significant estimates made by management, as well as evaluating the overall presentation of the consolidated financial statements. We believe that our audits provide a reasonable basis for our opinion.
Critical Audit Matters
The critical audit matters communicated below are matters arising from the current period audit of the consolidated financial statements that were communicated or required to be communicated to the audit committee and that: (1) relate to accounts or disclosures that are material to the financial statements and (2) involved our especially challenging, subjective, or complex judgments. The communication of critical audit matters does not alter in any way our opinion on the financial statements, taken as a whole, and we are not, by communicating the critical audit matters below, providing separate opinions on the critical audit matters or on the accounts or disclosures to which they relate.
Going Concern:
As discussed in Note 2, there has been uncertainty about the Company’s ability to meet certain loan covenants, the Company has incurred recurring losses from operation, and generated negative cash flows from operating activities and had an accumulated deficit that raises substantial doubt about the Company’s ability to continue as a going concern.
Auditing management’s evaluation of going concern can be a significant judgement given the fact that the Company uses management estimates on future revenues and expenses, which are difficult to substantiate.
We evaluated the appropriateness of the going concern, we examined and evaluated the financial information along with management’s plans to mitigate the going concern and management’s disclosure on going concern.
