Corporate Revolving Credit Facility

On October 16, 2026, Upstart Network, Inc. (the “Borrower”), a wholly-owned subsidiary of the Company, entered into a credit agreement providing for a senior secured revolving credit facility with an aggregate principal amount of up to $200.0 million (the “Revolver”). Proceeds of the Revolver will be used for general corporate purposes and to provide additional financing flexibility during the initial capitalization of Upstart Bank, N.A. (“Upstart Bank”). The timing and opening of Upstart Bank remain subject to required regulatory approvals.

The Revolver matures on October 15, 2027, unless terminated earlier, including 45 days after Upstart Bank’s initial capitalization. Outstanding borrowings must be repaid with proceeds from certain affiliate loan sales to Upstart Bank, upon which the Revolver will terminate. Borrowings bear interest at Term SOFR plus a margin ranging from 2.75% to 3.25%, with an initial margin of 3.00%. The Revolver is guaranteed by the Company and certain subsidiaries and secured by substantially all assets of the Borrower and certain subsidiaries, excluding Upstart Bank’s equity interests and assets. The Revolver also includes covenants that require the Company and its subsidiaries that are pledging assets as collateral to maintain (i) minimum liquidity of not less than $100.0 million, (ii) the sum of consolidated eligible assets, plus liquidity in excess of $100.0 million, of not less than $300.0 million in the aggregate, and (iii) a maximum consolidated secured gross leverage ratio of not more than 2.50 to 1.00. The occurrence of an event of default under the Revolver could result in all loans and other obligations under the Revolver becoming immediately due and payable and the Revolver being terminated.

On October 20, 2026, the Borrower borrowed $175.0 million under the Revolver.
