Item 8.01. Other Events.
On November 2, 2026, Science Applications International Corporation (the “Company”) announced that it commenced and subsequently priced a private offering to eligible purchasers of $500 million aggregate principal amount of Senior Notes due 2034 (the “Notes”), subject to market and certain other conditions (the “Offering”).
The Company intends to use the net proceeds from the Offering to redeem all of its outstanding 4.875% Senior Notes due 2028 (the “2028 Notes”) and to pay estimated fees and expenses of the Offering, with any remaining net proceeds being used for general corporate purposes.
Each of the Company’s existing and future domestic subsidiaries that guarantee the Company’s obligations under the Company’s Third Amended and Restated Credit Agreement and certain other indebtedness, including the 5.875% Senior Notes due 2033, will guarantee the Notes on a senior unsecured basis. The Notes and the guarantees will be the Company's and each guarantor’s senior unsecured obligations and will rank equally in right of payment with all of the Company’s and the guarantors’ existing and future senior indebtedness and will rank senior in right of payment to any of the Company’s and the guarantors’ future subordinated indebtedness.
The closing of the Offering is expected to occur on or about November 13, 2026, subject to customary closing conditions.
Copies of the press releases announcing the launch and pricing of the Offering are being filed as Exhibit 99.1 and Exhibit 99.2, respectively, to this Current Report on Form 8-K and are incorporated herein by reference.
This Current Report on Form 8-K does not and will not constitute an offer to sell, or the solicitation of an offer to buy, the Notes or any other securities, nor will there be any sale of the Notes or any other securities, in any state or other jurisdiction in which such offer, sale or solicitation would be unlawful. Any offer will be made only by means of a private offering memorandum. This Current Report on Form 8-K does not constitute a notice of redemption with respect to the 2028 Notes.
The Notes and related guarantees are being offered and sold only to persons reasonably believed to be “qualified institutional buyers” under Rule 144A of the Securities Act of 1933, as amended (the “Securities Act”), and to certain non-U.S. persons outside the United States under Regulation S of the Securities Act. The Notes and the related guarantees have not been, and will not be, registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and any applicable state securities laws.
