Explanation of Responses:

1. This Form 3 is filed jointly by Murchinson Ltd. ("Murchinson"), Nomis Bay Ltd. ("Nomis Bay"), BPY Ltd. ("BPY"), EOM Management Ltd. ("EOM"), James Keyes, Jason Jagessar, Chaja Carlebach, Clarendon Hugh Masters and Marc J. Bistricer (collectively, the "Reporting Persons"). Each Reporting Person may be deemed to be a member of a Section 13(d) group that owns more than 10% of the Issuer's outstanding American Depositary Shares (the "Shares"), each of which represents one Ordinary Share of the Issuer. Each Reporting Person disclaims beneficial ownership of the Shares reported herein except to the extent of his, her or its pecuniary interest therein, and this report shall not be deemed to be an admission that any Reporting Person is the beneficial owner of such Shares for purposes of Section 16 or for any other purpose.

2. This Form 3 is being filed solely due to a decrease in the number of the Issuer's outstanding Ordinary Shares and not as a result of any acquisition by the Reporting Persons.

3. Shares held by the Managed Positions (as hereinafter defined). Murchinson, as an investment advisor to manage positions on behalf of certain funds (the "Managed Positions"), may be deemed to be the beneficial owner of the Shares held by the Managed Positions. Mr. Bistricer, as the CEO and CIO of Murchinson, may be deemed to be the beneficial owner of the Shares beneficially owned by Murchinson and held by the Managed Positions.

4. Shares beneficially owned directly by Nomis Bay. EOM, as the investment manager of Nomis Bay, Messrs. Keyes and Jagessar, as directors of Nomis Bay, and Ms. Carlebach and Mr. Masters, as directors of EOM, each may be deemed to be the beneficial owner of the Shares beneficially owned by Nomis Bay. Murchinson, as a sub-investment advisor to Nomis Bay, and Mr. Bistricer, as the CEO and CIO of Murchinson, each may be deemed to be the beneficial owner of the Shares beneficially owned by Nomis Bay.

5. Shares beneficially owned directly by BPY. EOM, as the investment manager of BPY, Messrs. Keyes and Jagessar, as directors of BPY, and Ms. Carlebach and Mr. Masters, as directors of EOM, each may be deemed to be the beneficial owner of the Shares beneficially owned by BPY. Murchinson, as a sub-investment advisor to BPY, and Mr. Bistricer, as the CEO and CIO of Murchinson, each may be deemed to be the beneficial owner of the Shares beneficially owned by BPY.
