| Item 5.07 | Submission of Matters to a Vote of Security Holders. |
As previously announced, on June 24, 2026, Churchill Capital Corp XI, a Cayman Islands exempted company (“Churchill”), entered into an Agreement and Plan of Merger and Reorganization (the “Merger Agreement”), by and among Churchill, BLB Merger Sub, Inc., a Delaware corporation and direct, wholly-owned subsidiary of Churchill, and Agility Robotics, Inc., a Delaware corporation (“Agility”). Pursuant to the Merger Agreement, the parties have agreed to consummate certain transactions (collectively, the “Business Combination”), subject to the terms and conditions of the Merger Agreement.
On September 4, 2026, in connection with the Business Combination, Churchill and Agility jointly filed with the U.S. Securities and Exchange Commission (the “SEC”) a registration statement on Form S-4 (No. 333-298781) (as amended from time to time, the “Registration Statement”) containing a proxy statement/prospectus (such proxy statement/prospectus in definitive form, the “Proxy Statement”), which Registration Statement was declared effective by the SEC on October 13, 2026, and Churchill commenced mailing the Proxy Statement on October 13, 2026.
On November 2, 2026, Churchill held an extraordinary general meeting of its shareholders (the “Shareholder Meeting”), at which holders of 11,226,951 Class A ordinary shares and 13,800,000 Class B ordinary shares (collectively, the “Ordinary Shares”) as of September 14, 2026, the record date for the Shareholder Meeting, were present in person, virtually over the internet or by proxy, representing approximately 44.93% of the voting power of the Ordinary Shares as of the record date, and constituting a quorum for the transaction of business at the Shareholder Meeting. The proposals listed below are described in more detail in the Proxy Statement.
At the Shareholder Meeting, the shareholders approved the Business Combination Proposal, the Domestication Proposal, the Organizational Documents Proposal, the Advisory Organizational Documents Proposal, the Stock Issuance Proposal, the Incentive Plan Proposal, the ESPP Proposal and the Director Election Proposal (each as defined in the Proxy Statement, and collectively, the “Shareholder Proposals”), which Shareholder Proposals are further described on pages 101 – 197 of the Proxy Statement, which are hereby incorporated by reference herein.

| Item 7.01 | Regulation FD Disclosure. |
On November 2, 2026, Churchill issued a press release announcing the approval of all of the proposals presented at the Shareholder Meeting. A copy of the press release is furnished herewith as Exhibit 99.1 and incorporated by reference herein.
The information in this Item 7.01, including Exhibit 99.1, is furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to liabilities under that section, and shall not be deemed to be incorporated by reference into the filings of Churchill under the Securities Act of 1933, as amended or the Exchange Act, regardless of any general incorporation language in such filings. This Current Report on Form 8-K (this “Current Report”) will not be deemed an admission as to the materiality of any information in this Item 7.01, including Exhibit 99.1.

| Item 8.01 | Other Events. |
Shareholders holding 25,451,804 Class A Ordinary Shares, representing approximately 61.5% of the Class A Ordinary Shares outstanding as of the redemption deadline, exercised their right to redeem such shares for a pro rata portion of the funds in Churchill’s trust account. As a result, approximately $261.8 million (approximately $10.287364 per share) will be removed from Churchill’s trust account to pay such shareholders. As a result, at the close of the Business Combination, The total amount of Agility’s gross capital raise and related financings is expected to be approximately $465.1 million before transaction expenses, consisting of approximately $164.1 million of proceeds from the trust account, $201.0 million of proceeds from Churchill’s previously announced private placement and $100 million of equity funding already received following the announcement of the Business Combination.
Based on the approval of the Domestication Proposal at the Shareholder Meeting, on November 2, 2026, Churchill effected a deregistration under the applicable provisions of Churchill’s current articles of association and Section 206 of the Companies Act (As Revised) of the Cayman Islands and a domestication under Section 388 of the Delaware General Corporation Law (the “Domestication”), pursuant to which Churchill’s jurisdiction of incorporation changed from the Cayman Islands to the State of Delaware. Upon the Domestication, the continuing entity was renamed “Agility Robotics, Inc.” and existing shareholders of Churchill hold shares of common stock in Agility Robotics, Inc. rather than ordinary shares in a Cayman Islands company.
Based on the results of the Shareholder Meeting, and subject to the satisfaction or waiver of certain other closing conditions as described in the Proxy Statement, the transactions contemplated by the Merger Agreement are expected to be consummated promptly. In connection with the Business Combination, Churchill has applied to have the post-Business Combination company common stock and warrants listed on The Nasdaq Stock Market (“Nasdaq”) under the symbols “AGLT” and “AGLTW,” respectively, and expects such securities to begin trading on Nasdaq on November 5, 2026. It is a condition to the consummation of the Business Combination that the shares of post-Business Combination company common stock to be issued (or reserved for issuance) in the Business Combination have been listed on Nasdaq or any other stock exchange mutually agreed upon by Churchill and Agility and shall be eligible for continued listing immediately following the closing, but there can be no assurance that such listing condition will be met. If such listing condition is not met, the Business Combination will not be consummated unless the listing condition is waived by the parties to the Merger Agreement.
