RICHMOND MUTUAL BANCORPORATION, INC. ANNOUNCES 2026 THIRD QUARTER FINANCIAL RESULTS
RICHMOND, INDIANA (October 30, 2026) – Richmond Mutual Bancorporation, Inc., a Maryland corporation (the “Company”) (NASDAQ: RMBI), parent company of First Bank Midwest, today reported net income of $1.7 million, or diluted earnings per share of $0.11, for the third quarter of 2026. This compares to net income of $2.2 million, or $0.22 diluted earnings per share, for the second quarter of 2026, and net income of $3.6 million, or diluted earnings per share of $0.36, for the third quarter of 2025.
The decrease in net income from the second quarter of 2026 and the third quarter of 2025 was primarily due to higher provision for credit losses, as well as noninterest expense. The provision for credit losses totaled $6.1 million during the third quarter of 2026, compared to $823,000 in the prior quarter and $269,000 in the third quarter of 2025. The increase in provision was primarily due to the need to replenish and increase the allowance for credit losses following $6.1 million of net charge-offs during the quarter, including a partial charge-off of $4.5 million on a nonaccruing commercial real estate loan, which was transferred to other real estate owned during the current quarter, and an $803,000 charge-off on a commercial and industrial loan, as well as an increase in non-performing loans. In addition, noninterest expense during the quarter included $3.0 million of nonrecurring merger-related expenses associated with the acquisition of Farmers Bancorp. These items were partially offset by a preliminary bargain purchase gain recognized on the Company’s acquisition of Farmers Bancorp of $1.6 million.
Net income for the nine months ended September 30, 2026 was $6.8 million, or $0.56 diluted earnings per share, compared to net income of $8.2 million, or $0.82 diluted earnings per share, for the same period in 2025.
On July 1, 2026, the Company completed its previously announced merger with Farmers Bancorp pursuant to the Agreement and Plan of Merger dated November 11, 2025. Immediately thereafter, The Farmers Bank merged with and into First Bank Richmond. The combined company continues to operate as Richmond Mutual Bancorporation, Inc., while the combined bank is operating under the name First Bank Midwest. The combined company continues to trade on the Nasdaq Capital Market under the ticker symbol “RMBI.” The administrative headquarters of the holding company remains in Richmond, Indiana, while the combined bank is headquartered in Frankfort, Indiana.
The financial results presented in this earnings release reflect the Company’s operations following the completion of the merger on July 1, 2026. Accordingly, the Company’s financial results for the quarter ended September 30, 2026, include the operating results of the combined company. Financial results for periods prior to July 1, 2026, reflect the operations of Richmond Mutual Bancorporation, Inc., on a standalone basis, and do not include the operations of Farmers Bancorp.
Message from the Chairman and CEO
Garry Kleer, Chairman and Chief Executive Officer, commented, “Our third quarter results reflected the impact of our merger with Farmers Bancorp, which significantly expanded our balance sheet and increased net interest income compared to both the prior quarter and the third quarter of last year. Earnings were impacted by a higher provision for credit losses and increased noninterest expense. As we move forward, our focus remains on successfully integrating the two organizations, realizing the strategic benefits of the combination and continuing to serve our customers and communities.”

Income Statement Summary
Net Interest Income. Net interest income before the provision for credit losses increased $11.6 million to $22.8 million in the third quarter of 2026, compared to $11.3 million in the third quarter of 2025. The increase was primarily attributable to the merger with Farmers Bancorp, which significantly expanded the Company’s interest-earning assets and interest-bearing liabilities. The acquisition also impacted net interest income through the accretion and amortization of fair value adjustments recorded in connection with the transaction.
Annualized net interest margin was 3.68% for the third quarter of 2026, compared to 3.07% for the third quarter of 2025. The increase primarily reflected higher yields and average balances of interest-earning assets resulting from the loan portfolio acquired in the merger, as well as lower average funding costs and a higher volume of noninterest-bearing demand deposits.
Interest Income. Interest income increased $16.7 million to $38.6 million during the quarter ended September 30, 2026, compared to $21.8 million during the quarter ended September 30, 2025. The increase was primarily due to a $1.02 billion increase in the average balance of interest-earning assets, mainly as a result of the merger with Farmers Bancorp. The average yield on interest-earning assets was 6.20%, compared to 5.93% in the third quarter of 2025.
Interest income on loans and leases increased $14.6 million to $34.3 million for the quarter ended September 30, 2026, compared to $19.7 million in the third quarter of 2025. This increase was primarily due to an $831.9 million increase in the average balance of loans and leases, mainly reflecting loans acquired in the merger with Farmers Bancorp. The average yield earned on loans and leases was 6.79% as compared to 6.63% in the same quarter a year ago.
Interest income on investment securities, excluding FHLB stock, increased $1.3 million to $2.9 million during the quarter ended September 30, 2026, compared to the quarter ended September 30, 2025, due to a $110.5 million increase in the average balance of securities and a 66 basis point increase in the average yield to 3.25%. The increases were primarily due to securities acquired in the acquisition and the subsequent repositioning of the securities portfolio. Dividends on FHLB stock increased $203,000 to $517,000 during the quarter ended September 30, 2026, compared to the quarter ended September 30, 2025, primarily due to a $7.1 million increase in the average balance of FHLB stock held.
Interest income on cash and cash equivalents increased $623,000 to $826,000 during the quarter ended September 30, 2026, compared to the quarter ended September 30, 2025. The increase from the third quarter of 2025 was primarily due to increased cash balances maintained following the merger with Farmers Bancorp.
Interest Expense. Interest expense increased $5.2 million to $15.7 million for the quarter ended September 30, 2026, compared to the quarter ended September 30, 2025. The increase was due to a $728.8 million increase in the average balance of interest-bearing liabilities, primarily as a result of the merger with Farmers Bancorp, partially offset by a decrease in the average rate paid. The average rate paid on interest-bearing liabilities during the third quarter of 2026 was 3.17%, compared to 3.35% in the third quarter of 2025.
Interest expense on deposits increased $4.9 million to $12.7 million for the quarter ended September 30, 2026, compared to the third quarter of 2025. The increase was primarily due to a $710.5 million increase in the average balance of interest-bearing deposits as a result of the merger with Farmers Bancorp, partially offset by a decrease in the average rate paid. The average rate paid on interest-bearing deposits was 2.98% and 3.14% for the quarters ended September 30, 2026 and 2025, respectively. Within interest-bearing deposits, the average rate paid on interest-bearing checking accounts increased to 2.19% for the third quarter of 2026 compared to 1.17% for the third quarter of 2025. The increase was primarily attributable to public fund accounts acquired in the merger with Farmers Bancorp, which pay higher rates to municipal depositors.
Interest expense on borrowings increased $266,000 to $3.0 million for the third quarter of 2026 compared to the third quarter of 2025. The average balance of borrowings totaled $284.1 million during the quarter ended September 30, 2026, compared to $265.8 million for the quarter ended September 30, 2025. The increase in the average balance was primarily due to subordinated debt assumed in the merger with Farmers Bancorp. The average rate paid on borrowings was 4.26% for the quarter ended September 30, 2026, compared to 4.16% for the third quarter of 2025.
Provision for Credit Losses. A provision for credit losses of $6.1 million was recorded in the third quarter of 2026, compared to $269,000 in the third quarter of 2025. The increase was primarily due to the need to replenish the allowance following a $4.5 million partial charge-off recorded upon the transfer of a commercial real estate property to other real estate owned and an $803,000 charge-off on a commercial and industrial loan, as well as an increase in non-performing loans during the quarter. The related commercial real estate loan was placed on nonaccrual status in the second quarter of 2026, and the Company took possession of the property late in the third quarter. Net charge-offs for the third quarter of 2026 were $6.1 million, compared to $317,000 in the third quarter of 2025. No provision for credit losses was recorded at acquisition on loans acquired in the merger, as the initial allowance on those loans was established through the gross-up approach described under “Allowance for Credit Losses.”
Noninterest Income. Total noninterest income increased $3.3 million to $4.6 million for the quarter ended September 30, 2026, compared to the quarter ended September 30, 2025. The increase included a $1.6 million preliminary bargain purchase gain in connection with the merger with Farmers Bancorp. Excluding this gain, noninterest income increased $1.6 million, primarily reflecting the larger customer base following the merger, including increases of $415,000 in service charges on deposit accounts and $1.1 million in other income primarily related to wealth management income.
Noninterest Expense. Total noninterest expense increased $11.9 million to $20.0 million for the three months ended September 30, 2026, compared to the third quarter of 2025. The increase was primarily attributable to the merger with Farmers Bancorp, which significantly expanded the Company’s operating infrastructure and employee base. The quarter also included $3.0 million in nonrecurring merger-related expenses, consisting primarily of software and core conversion expenses. In addition, noninterest expense was impacted by $1.8 million in amortization expense related to the core deposit intangible recognized in connection with the merger.
Income Tax Expense. Income tax expense decreased $1.1 million during the three months ended September 30, 2026, compared to the quarter ended September 30, 2025. The Company recognized an income tax benefit of $482,000 for the three months ended September 30, 2026, compared to income tax expense of $645,000 for the three months ended September 30, 2025. The $1.1 million decrease was primarily attributable to lower pre-tax income and favorable tax effects from a preliminary bargain purchase gain, higher tax credits and increased tax-exempt interest income, partially offset by nondeductible transaction costs.
Balance Sheet Summary
General. Total assets increased $1.07 billion to $2.60 billion at September 30, 2026, as compared to $1.53 billion at December 31, 2025, primarily due to $1.2 billion in assets acquired from the merger with Farmers Bancorp.
Investment Securities. Investment securities increased $75.1 million to $329.8 million at September 30, 2026, compared to $254.7 million at December 31, 2025. The increase was primarily due to $205.0 million in available for sale securities acquired from the merger with Farmers Bancorp. Offsetting this increase were sales of $91.9 million of securities acquired. The proceeds from sales were used to pay off FHLB advances assumed in the merger.
Loans and Leases. Loans and leases increased $827.2 million to $2.00 billion at September 30, 2026, compared to $1.18 billion at December 31, 2025. The increase was primarily attributable to $803.6 million in loans acquired from the merger with Farmers Bancorp, with the remaining $23.6 million reflecting organic loan growth.
Non-performing loans and leases, consisting of nonaccrual loans and leases and accruing loans and leases 90 days or more past due, totaled $32.2 million, or 1.59% of total loans and leases, at September 30, 2026, compared to $17.4 million, or 1.46%, at December 31, 2025. Nonaccrual loans and leases increased $17.4 million to $30.6 million at September 30, 2026, from $13.2 million at December 31, 2025. The increase in non-performing loans and leases was primarily due to $4.8 million of loans and leases that were non-performing when acquired in the merger with Farmers Bancorp, $1.1 million of acquired loans and leases that became non-performing after the acquisition, and $8.9 million of legacy loans and leases that became non-performing during the period, primarily consisting of commercial and industrial loans associated with one customer relationship.
Allowance for Credit Losses. The allowance for credit losses on loans and leases increased $8.9 million to $25.4 million, or 1.25% of total loans and leases, at September 30, 2026, from $16.5 million, or 1.38% of total loans and leases, at December 31, 2025. The increase was primarily due to the initial allowance for credit losses of $8.3 million established on loans acquired in the merger with Farmers Bancorp, including $699,000 on purchased credit-deteriorated loans and $7.6 million on purchased seasoned loans, and a provision for credit losses of $7.6 million, partially offset by net charge-offs of $7.0 million during the nine months ended September 30, 2026. The Company early adopted ASU 2025-08, Financial Instruments - Credit Losses (Topic 326): Purchased Loans, and applied the gross-up approach to the purchased seasoned loans. Under this approach, the initial allowance on those loans was recorded as an adjustment to their amortized cost basis at acquisition, rather than through provision expense. As a result, no day-one provision for credit losses was recognized on loans acquired in the merger. The allowance for credit losses provided coverage of 78.9% of non-performing loans and leases at September 30, 2026, compared to 94.6% at December 31, 2025. The decrease in the allowance as a percentage of total loans and leases primarily reflects lower expected credit loss rates on the acquired loan portfolio relative to the legacy portfolio. The decrease in the allowance as a percentage of non-performing loans and leases primarily reflects the $14.8 million increase in non-performing loans and leases, a significant portion of which are collateral-dependent loans requiring limited specific reserves based on the estimated fair value of the underlying collateral. Net charge-offs for the nine months ended September 30, 2026 were $7.0 million, or an annualized 0.64% of average loans and leases, compared to $1.3 million for the comparable period of 2025.
Management regularly evaluates credit exposure across its loan portfolio and within its geographic markets. As of September 30, 2026, the Company’s credit risk assessment incorporated ongoing economic conditions, including inflationary pressures, capital market volatility, and geopolitical risks. Management continues to conduct portfolio stress testing and monitor credit metrics and believes the allowance for credit losses is appropriate based on the current composition of the loan and lease portfolio and the level of individually evaluated reserves.
Other Assets. Other assets increased $66.6 million to $97.6 million at September 30, 2026, compared to $31.0 million at December 31, 2025. The increase was primarily attributable to the merger with Farmers Bancorp, including the recognition of a core deposit intangible asset of $22.9 million, a $20 million increase in the cash surrender value of bank-owned life insurance, a $4.8 million increase in accrued interest receivable and a $1.4 million increase in mortgage servicing rights. At September 30, 2026, the carrying value of the core deposit intangible was $21.2 million.
Included in other assets, other real estate owned totaled $2.7 million at September 30, 2026, compared to $56,000 at December 31, 2025. The increase was primarily due to the transfer of two commercial real estate properties to other real estate owned during the third quarter of 2026: a former behavioral health hospital campus located in Dayton, Ohio, with a carrying value of $2.2 million, and a restaurant property located in Richmond, Indiana, with a carrying value of $450,000. Both properties were recorded at fair value less estimated costs to sell at the time of transfer. The Company is actively marketing both properties for sale.
Deposits. Total deposits increased $970.5 million to $2.09 billion at September 30, 2026, compared to $1.11 billion at December 31, 2025. The increase in deposits from December 31, 2025 was primarily due to $935.8 million in deposits acquired from the merger with Farmers Bancorp. Brokered time deposits totaled $268.1 million, or 12.9% of total deposits, at September 30, 2026, compared to $235.9 million, or 21.2% of total deposits at December 31, 2025. Noninterest-bearing demand deposits totaled $351.4 million at September 30, 2026 compared to $100.1 million at December 31, 2025, and were 16.9% and 9.0% of total deposits at September 30, 2026 and December 31, 2025, respectively.
Borrowings. Total borrowings increased $11.6 million to $263.6 million at September 30, 2026, compared to $252.0 million at December 31, 2025. The increase was primarily due to the $14.5 million in subordinated debt assumed in the merger with Farmers Bancorp, partially offset by the repayment of other FHLB advances. The Company also assumed approximately $95 million in FHLB advances in the merger, all of which were repaid during the quarter with proceeds from the sale of available for sale securities acquired in the merger.
Stockholders’ Equity. Stockholders’ equity totaled $228.9 million at September 30, 2026, an increase of $83.1 million from December 31, 2025. The increase in stockholders’ equity was primarily attributable to the issuance of 6,254,286 shares of common stock due to the merger with Farmers Bancorp, resulting in an increase to equity of $99.3 million, and net income of $6.8 million. Offsetting these increases were an increase to other comprehensive loss of $18.5 million, reflecting an increase in net unrealized losses on available-for-sale securities, net of tax, due to higher market interest rates during the period, and $5.3 million in dividends paid to Company stockholders.

Average Balances, Interest and Average Yields/Cost. The following tables set forth for the periods indicated, information regarding average balances of assets and liabilities as well as the total dollar amounts of interest income from average interest-earning assets and interest expense on average interest-bearing liabilities, resultant yields, interest rate spread, net interest margin (otherwise known as net yield on interest-earning assets), and the ratio of average interest-earning assets to average interest-bearing liabilities. Average balances have been calculated using daily balances. Non-accruing loans have been included in the table as loans carrying a zero yield. Loan fees are included in interest income on loans and are not material.
