The response to Items 5-11 of the cover pages to this Amendment No. 5 are incorporated herein by reference.
On August 24, 2026, pursuant to the Arrangement Agreement and Plan of Merger, dated as of April 26, 2026 (as amended, the "Merger Agreement"), by and among the Issuer, RE/MAX Holdings, Inc. ("REMAX"), Real REMAX Group Inc. (the "Real REMAX") and certain subsidiaries of Real REMAX, Real REMAX acquired all of the issued and outstanding shares of the Issuer and REMAX.
Pursuant to the Merger Agreement, each Real Brokerage Common Share was consolidated on a 10-for-1 basis (the "Share Consolidation") and converted into the right to receive one share of common stock of Real REMAX.
As a result of the transactions contemplated by the Merger Agreement, all of the Real Brokerage Common Shares beneficially owned by Mr. Poleg, immediately prior to the consummation of the transactions were subject to the Share Consolidation and converted into shares of common stock of Real REMAX. Accordingly, Mr. Poleg ceased to beneficially own any Real Brokerage Common Shares. | |
