In connection with the PTR acquisition, goodwill of $14.8 million was recorded resulting from the total consideration exceeding the fair value of the identifiable net assets acquired. The goodwill was assigned to the Artificial Lift and Downhole segment and is primarily attributable to expected revenue synergies and the assembled workforce. It is not expected to be deductible for income tax purposes.
Goodwill is not amortized and is tested for impairment at least annually or when events and circumstances indicate that fair value may be below its carrying value.

The preliminary allocation of consideration transferred in the PTR acquisition resulted in the recognition of $15.4 million of identifiable intangible assets, consisting of $11.5 million of customer relationships, $2.8 million of technology and $1.0 million of trade names. The acquired intangible assets are being amortized over estimated useful lives ranging from 8 to 10 years.
Intangible assets with definite lives are tested for impairment whenever events or changes in circumstances indicate that their carrying amount may not be recoverable.
