| Acquisition | Acquisition On August 6, 2026, the Company, through its wholly owned subsidiary, entered into an Asset Purchase Agreement and acquired substantially all the assets and assumed certain liabilities of the Premiere Torque Rings (“PTR”) business of Premiere, Inc. PTR designs, manufactures and supplies patented torque ring products used in oil and natural gas applications. The acquisition expands the Company’s Downhole product offering and is accounted for as a business combination using the acquisition method of accounting. The results of PTR’s operations are included in the Downhole product line within the Artificial Lift and Downhole segment from the acquisition date. The acquisition-date fair value of consideration transferred was $34.4 million and consisted of $11.8 million of cash, 238 thousand shares of the Company’s common stock with an acquisition-date fair value of $16.2 million, contingent consideration with an acquisition-date fair value of $1.5 million and deferred cash consideration with an acquisition-date fair value of $4.9 million. The contingent consideration is based on the achievement of specified cumulative profit thresholds during the earn-out period and provides for aggregate payments of up to $10.0 million. The contractual deferred cash consideration is payable in six equal semiannual installments beginning six months after the acquisition date. The purchase price allocation is preliminary as it is subject to customary purchase price adjustments. Acquisition-related costs incurred during the three months ended September 30, 2026 were immaterial and were expensed as transaction expenses. The revenue and earnings of PTR included in the Company’s condensed consolidated statements of comprehensive income since the acquisition date were not material. Supplemental pro forma revenue and earnings information has not been presented because the acquisition was not material to the Company’s condensed consolidated financial statements.
