| COMMITMENTS AND CONTINGENCIES | COMMITMENTS AND CONTINGENCIES COMMITMENTS. As of September 30, 2026, our purchase commitments (primarily information technology and advertising contracts) under various contracts for the remainder of 2026 and annually thereafter were as follows (in millions):
The amounts reflected in the table above for purchase commitments represent noncancelable agreements to purchase goods or services. Open purchase orders that are cancelable are not considered unconditional purchase obligations for financial reporting purposes and are not included in the table above. CONTINGENCIES. Historical Guarantees of Parent’s Third-Party Debt FedEx Freight was a named guarantor for the majority of FedEx’s third-party debt arrangements for the pre-Spin-Off periods presented. We did not recognize a loss contingency in relation to these guarantees as FedEx did not experience events of default and did not demonstrate indicators that it would be unable to settle its debt through its then-current operating cash flows. In 2025, FedEx began the process of releasing FedEx Freight as a guarantor in contemplation of the Spin-Off. Following the Spin-Off, all guarantees by the Company of FedEx debt were released with one exception, for which FedEx will indemnify FedEx Freight from any liability arising from such guarantee. Other Matters FedEx Freight is subject to legal proceedings that arise in the ordinary course of business. These proceedings may include various class-action allegations of wage-and-hour violations in which plaintiffs claim, among other things, that they were forced to work “off the clock,” were not paid overtime, or were not provided work breaks or other benefits, as well as other lawsuits containing allegations that FedEx Freight and its subsidiaries are responsible for third-party losses related to vehicle accidents that could exceed our insurance coverage for such losses. In the opinion of management, the aggregate liability, if any, with respect to these actions will not have a material adverse effect on our financial position, results of operations, or cash flows. Environmental Matters SEC regulations require us to disclose certain information about proceedings arising under federal, state, or local environmental provisions involving a governmental authority as a party if we reasonably believe that such proceedings may result in monetary sanctions above a stated threshold. Pursuant to the SEC regulations, we use a threshold of $1 million or more for purposes of determining whether disclosure of any such proceedings is required. Applying this threshold, there are no environmental matters required to be disclosed for this period.
