[1] On September 24, 2025, the Company granted 40,000 RSUs to directors under the Omnibus Plan. On June 29, 2026, the Company granted an additional 120,000 RSUs to directors under the Omnibus Plan. The RSUs vest in full on the earlier of September 23, 2028 or the occurrence of a change of control, resignation, or dismissal without cause. The aggregate grant-date fair value of the RSUs granted during the year was $743,200.
