FRANCHISE AND DEVELOPMENT RIGHTS Franchise and development rights of $82,500 relate to an Area Development Agreement with Anytime Fitness Franchisor LLC dated July 3, 2025 for three fitness centers in Chicago, assigned to the Company by Dr. Passley on that date. The nonrefundable development fee is amortized over 10 years; the carrying amount was $74,340 at June 30, 2026 ($78,375 at December 31, 2025) after amortization of $4,035 for the six months. No fitness center has been opened and the rights are reviewed for impairment; the agreement is not among those voided by the Order. |
