NOTE 22. SUBSEQUENT EVENTS

Subsequent events and transactions were evaluated through October 27, 2026, the date the consolidated financial statements were issued.

On October 5, 2026, the Company acquired Summit Woods Crossing, a 545,000-square-foot open-air power center situated on 57 acres in the Kansas City, Missouri metro area, for $103.0 million, or $189 per square foot. The property is anchored by Lowe’s, Kohl’s, Best Buy, TJ Maxx, and Total Wine, with an on-site SuperTarget not owned by the Company.

On October 15, 2026, the Company completed a $32.0 million preferred equity investment in a joint venture that owns a 10-property shopping center portfolio, fully funded at close, with an initial yield of 17.0% (including 7.0% paid-in-kind interest) and a 36-month term.

On October 20, 2026, the Company’s Board of Directors approved a Series A Preferred Stock repurchase program (the “2026 Series A Preferred Stock Repurchase Program”). Pursuant to the 2026 Series A Preferred Stock Repurchase Program, the Company may repurchase shares of its Series A Preferred Stock for a total purchase price of up to $5.0 million. Shares may be purchased under the 2026 Series A Preferred Stock Repurchase Program in open market transactions, including through block purchases, through privately negotiated transactions or pursuant to any trading plan that may be adopted in accordance with Rule 10b5-1 under the Exchange Act. The 2026 Series A Preferred Stock Repurchase Program does not obligate the Company to acquire any particular amount of shares of its Series A Preferred Stock and may be modified or suspended.  As a result of the 2026 Series A Preferred Stock Repurchase Program, the prior 2023 Series A Preferred Stock Repurchase Program was terminated.
