Terrestrial Energy Announces Share Repurchase Program

CHARLOTTE, N.C.-- (BUSINESSWIRE) -- October 27, 2026 -- Terrestrial Energy Inc. (Nasdaq: IMSR) ("Terrestrial Energy" or the "Company"), a leader in Generation IV molten salt nuclear plants supplying electricity and high-temperature industrial heat, today announced that its Board of Directors has authorized a share repurchase program of up to $25 million of the Company's common stock.

Share Repurchase Program Details

Under the program, the Company may repurchase shares of its common stock from time to time through open market purchases, privately negotiated transactions, block trades or other means, including under a trading plan adopted in accordance with Rule 10b5-1 under the Securities Exchange Act of 1934, as amended (the "Exchange Act"), and in accordance with Rule 10b-18 under the Exchange Act and other applicable laws, rules and regulations. The timing, manner, price and amount of any repurchases will be determined by management at its discretion based on general economic and market conditions, the Company's share price, capital requirements, applicable legal requirements and other factors.

The program will be funded from the Company's existing cash on hand. It does not obligate the Company to repurchase any particular amount of common stock, may be modified, suspended or discontinued at any time at the Company's discretion without prior notice, and will expire on October 22, 2027. As of October 23, 2026, the Company had approximately 105.9 million shares of common stock outstanding, including shares of common stock issuable upon exchange of outstanding exchangeable shares.

About Terrestrial Energy

Terrestrial Energy is a developer of Generation IV nuclear plants powered by its Integral Molten Salt Reactor (IMSR) technology, delivering innovation in efficiency, cost, versatility and functionality. The IMSR Plant is small, modular and designed to supply low-cost, reliable, high-temperature heat and electricity for industrial applications, including data centers, and chemical and petrochemical supply. By extending nuclear energy beyond power markets, IMSR Plant supports clean firm heat and power, self-reliance, grid reliability and economic growth. Using proven U.S. molten salt technology and inexpensive, readily available standard-assay low-enriched uranium fuel, Terrestrial Energy is working with regulators, suppliers, customers and industrial partners to commission a fleet of IMSR plants across the U.S. in the 2030s.
