Buyer has all requisite corporate power and authority to own, lease, and operate the properties now owned or leased by Buyer. Buyer is not qualified to do business as a foreign company in any jurisdiction.
6.2
Enforceability. Buyer has the requisite power and authority and has taken all action necessary to execute and deliver this Agreement, and any and all ancillary agreements, and to consummate the transactions contemplated hereby. 6.3
No Conflict with Other Instruments or Proceedings. The execution and delivery of this Agreement and the consummation of the transactions contemplated by this Agreement will not result in the breach of any of the terms or conditions of, or constitute a default under, the Buyer's contracts, agreements, lease, commitments, indenture, mortgage, pledge, note, bond, license, or other instrument or obligation to which either Buyer is now a party or by which Buyer or any of Buyer's properties or assets may be bound or affected; or violate any existing law, rule, regulation or any order, writ, injunction, or decree of any Governmental Authority. All consents, approvals, or authorizations of, or declarations, filings, or registrations with any third parties or governmental or regulatory authorities required of Buyer in connection with the execution, delivery, and performance of this Agreement and the consummation of the transactions contemplated by this Agreement will be obtained or made, as applicable, by Buyer before the Closing Date.
6.4
License. At or prior to the Closing, Buyer (or Boshart, as applicable) will hold all licenses, registrations and affiliations necessary to acquire, own and service the Book of Business, including affiliation with Ameriprise, and will have obtained all necessary approvals from the State of New York for its operation of the Business after the Closing.
6.5
Financing. Upon request by Seller, Buyer shall deliver to Seller evidence of
the Ameriprise Offer Letter. Subject to Ameriprise’s approval of this Agreement and the satisfaction of the conditions set forth in the Ameriprise Offer Letter, the Purchase Price will be funded at the Closing as contemplated by Section 2.1. Buyer makes no representation that Ameriprise will approve this Agreement or fund the Purchase Price.
6.6
Accuracy of Statements. No representation or warranty made by Buyer in this Agreement, or any information, statement, certificate, or schedule furnished, or to be furnished, to Seller pursuant to this Agreement, or in connection with the transactions contemplated by this Agreement, contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact necessary to make the statements not misleading. The representations and warranties of Buyer shall be deemed to be made as of the date of this Agreement and again as of the Closing Date.
ARTICLE 7
COVENANTS

7.2

7.3
Publicity. Buyer and Seller shall jointly make an announcement, if any, regarding the transactions contemplated by this Agreement in a mutually agreed upon form. After the announcement, during the period from the date of this Agreement to the Closing Date, no Party shall issue any press release or otherwise make any public statements or announcement concerning this Agreement or the transactions contemplated by this Agreement without the prior written consent of the other Parties.
7.4
Further Assurances. Buyer and Seller shall execute all documents and take all further actions as may be reasonably required or desirable to carry out the provisions of this Agreement and the transactions contemplated by this Agreement at or after the Closing to evidence the consummation of the transactions contemplated pursuant to this Agreement.
7.5
Confidentiality. The confidentiality obligations set forth in the Letter of Intent shall remain in full force and effect in accordance with their terms. From and after the Closing, Seller shall keep confidential, and shall not use or disclose for any purpose, all non-public information relating to the Business, the Purchased Assets and the clients comprising the Book of Business, except as required by Law or by Seller’s bank regulators. Seller further acknowledges that the terms of the Ameriprise Offer Letter and of Buyer’s financing arrangements with Ameriprise are confidential, and Seller shall not disclose the same to any third party except to its attorneys and accountants who agree to be bound by this Section, or as required by process of Law. Without limiting the foregoing, prior to the date on which Boshart delivers notice of his resignation to LPL, Seller shall not, and shall cause its Affiliates, officers, directors, employees and agents not to, disclose to LPL Boshart’s intended affiliation with Ameriprise, the existence or terms of this Agreement, or the transactions contemplated hereby, and Seller and Buyer shall coordinate the timing and content of all communications with LPL relating to the transactions contemplated hereby. Nothing in this Section 7.5 shall prohibit any disclosure that Seller is required to make under the FIS Agreement or applicable Law; provided that, to the extent legally permitted, Seller shall give Buyer prompt written notice before making any such disclosure and shall limit the disclosure to the information so required.
7.6
Bulk Sales Tax Law Compliance. Upon the execution of this Agreement, the Seller and/or Buyer shall comply with the notification provisions of the New York Bulk Sales tax law by giving notice, in appropriate form, to the New York Department of Taxation, Sales Tax Bureau. ARTICLE 8
RESTRICTIVE COVENANTS
8.1 Non-Competition. For a period of three (3) years following the Closing Date (the “Restricted Period”), Seller, its Affiliates and subsidiaries, and their respective agents, shall not, directly or indirectly, in connection with the Purchased Assets, compete with Buyer, and shall not engage in any activities relating to financial investment or insurance services in connection with the Purchased Assets. Notwithstanding the foregoing to the contrary, Seller shall not be restricted from
otherwise engaging in its business, provided that it shall not interfere with Buyer’s ownership of the Purchased Assets.
8.2 Non-Solicitation of Clients. During the Restricted Period, Seller, its Affiliates and subsidiaries, and their respective agents shall not, directly, or indirectly, solicit, divert, or accept business from any client of Buyer, including any client comprising the Book of Business.
8.3 Non-Solicitation of Employees. During the Restricted Period, Seller, its Affiliates and subsidiaries, and their respective agents shall not, directly, or indirectly, solicit any employee of Buyer to work in any competing business.
8.4 Confidentiality Covenant. During the Restricted Period, Seller, its Affiliates and subsidiaries, and their respective agents shall not disclose confidential information regarding Buyer’s business.
8.5 Coholan Restrictive Covenants. (a) Seller acknowledges that Coholan is bound by the "Coholan Restrictive Covenants" contained in the Coholan Agreement, including (i) the non-competition obligation in the Coholan Agreement, for a period of two (2) years commencing October 31, 2025; (ii) the non-solicitation covenant in the Coholan Agreement, running for five (5) years from the date thereof with respect to the Named Plans; and (iii) the non-disparagement covenant set forth the Coholan Agreement. (b) Seller covenants to continue to enforce Seller’s rights under the Coholan Agreement at no material cost to Seller, including the Coholan Restrictive Covenants, or any other rights, for the benefit of Buyer to the extent legally allowable per the original agreements with Coholan, and shall, at Buyer’s written request and at Buyer’s expense, commence and diligently prosecute any action reasonably necessary to enforce the same. (c) Seller shall not waive, release, amend or consent to any material deviation from any Coholan Restrictive Covenant without Buyer’s prior written consent, and shall promptly notify Buyer of any known or suspected breach thereof. (d) Seller shall not, without Buyer’s prior written consent, consent to any announcement by Coholan of his retirement to any of the plans included in the Coholan Agreement.
8.6 Reasonableness; Remedies. Seller acknowledges that the restrictions are reasonable and necessary to protect the goodwill and value of the Purchased Assets. If any provision is held to be overbroad, a court of competent jurisdiction is expressly authorized to modify such provision to the maximum scope and duration deemed reasonable and to enforce it as modified. Seller acknowledges that a breach of this Article would cause irreparable harm for which monetary damages would be an inadequate remedy, and Buyer shall be entitled to seek injunctive relief and specific performance without the necessity of posting a bond, in addition to all other remedies available at law or in equity. The Restricted Period shall be tolled during any period of breach.
ARTICLE 9
LEASE OF PREMISES
9.1 Lease Agreement. Seller owns the Premises on which the Business is operated. At the Closing, Seller, as landlord, and Buyer, as tenant, shall enter into a lease agreement in the form attached as Exhibit B (the “Lease Agreement”) for a portion of the Premises consisting of Buyer’s current office and four (4) additional offices, plus access to and use in common with others of the connecting hallway, file/mail room, bathrooms, lobby, reception area, and kitchen/break room (the “Leased Premises”), which Lease Agreement shall be on terms and conditions satisfactory to Buyer and shall include the terms set forth herein.
9.2 Term and Rent. Seller shall rent the Leased Premises to Buyer, inclusive of all furniture, fixtures and equipment currently at the Leased Premises, for a term of one (1) year (the “Initial Term”) commencing on the Closing Date, at a rate of $2,000.00 per month for the
first six (6) months of the Initial Term, increasing to $2,500.00 per month for the remaining six (6) months of the Initial Term, pro-rated for any partial month. Unless sooner terminated, and provided Buyer, as tenant, is not then in default at the expiration of the Initial Term, Buyer shall have the option to extend the term of the Lease Agreement for an additional six (6) months, with rent at the rate of $2,500.00 per month.
9.3 Landlord Obligations. Seller, as landlord, shall maintain sole responsibility for all real estate taxes, water usage, exterior grounds maintenance (including without limitation mowing and snow removal), building maintenance, common trash and recyclable services (excluding hazardous waste), and building, property, and liability insurance.
9.4 Termination Option. The Lease Agreement shall provide both parties, and their respective assignees and successors, with an option to terminate the Lease Agreement at any time upon three (3) months’ prior written notice.
9.5 Sale of the Premises. In the event Seller decides to sell the Premises during the Initial Term or any extension thereof, Seller agrees to reimburse Buyer’s relocation expenses and the difference in rent through the termination or expiration (or earlier termination as set forth in section 9.4 herein) of the Lease Agreement, which reimbursement shall not exceed Five Thousand Dollars ($5,000.00).
ARTICLE 10
INDEMNIFICATION
10.1
Survival of Representations and Warranties. All representations and warranties made by the parties in this Agreement will survive for a period of twelve (12) months following the Closing Date, after which time they shall terminate, except as provided below:
(a)
The representations and warranties of Seller made in Sections 5.1, 5.2, 5.3, 5.5, 5.10, 5.13, 5.14 and 5.20 shall continue indefinitely; and
(b)
The representations and warranties of Buyer made in Sections 6.1, 6.2, and 6.3 shall continue indefinitely.
10.2
Indemnification by Seller. Seneca and Financial Quest, jointly and severally, agree to indemnify Buyer, and its officers, directors and employees and Boshart, against any loss, damage or out-of-pocket expense (including reasonable attorneys’ fees) (“Losses”) suffered by any of them as a result of (a) any breach of any of Seller’s obligations under this Agreement, (b) any inaccuracy or misrepresentation in any representation or warranty made by Seller in this Agreement, including the Schedules hereto, (c) Seller’s failure to satisfy any of its debts, liabilities or obligations, whether arising or incurred before or after the Closing Date other than the Assumed Liabilities, and (d) the assertion against Buyer of any liability, debt or obligation of Seller or any prior owner of the Purchased Assets arising out of the operation of the business of Seller, the ownership of the Purchased Assets, or the provision of any service by Seller, prior to the Closing Date other than the Assumed Liabilities.
10.3
Indemnification by Buyer. Buyer agrees to indemnify Seller against any Losses suffered by any of them as a result of (a) any breach of Buyer's obligations under this Agreement, including without limitation, any failure to make any payment pursuant to this Agreement, and (b) any breach of any representation or warranty made by Buyer in this Agreement, (c) any inaccuracy or misrepresentation in any representation or warranty made by Buyer in this Agreement, or (d) the assertion against Seller of any liability, debt or obligation of Buyer arising out
of the operation of the Business or the provision of any service by Buyer on or after the Closing Date.
10.4
Notification of Claims. No party shall be entitled to any indemnification hereunder (the “Indemnified Party”) with respect to any Loss unless the Indemnified Party shall have delivered to the indemnifying party (the “Indemnitor”) a notice (a “Claim Notice”) describing in reasonable detail the facts giving rise to such Loss within ninety (90) days after the Indemnified Party has received notice of such loss or a claim which, if valid, would result in a Loss; provided that failure to give timely notice shall not relieve the Indemnitor of its obligations except to the extent it is materially prejudiced thereby.
10.5.
Limitations on Indemnification. Notwithstanding anything herein to the contrary, the following shall apply to this Section 10 and any rights to indemnification hereunder:
-
Buyer, its members, managers, officers, directors and employees shall not be entitled to indemnification for Losses (i) unless and until the Losses exceed $5,000.00 in the aggregate (the “Basket”), after which Seller shall indemnify for the entire amount of the Losses, from the first dollar, subject to the Cap (as hereinafter defined), and (ii) in an aggregate amount in excess $500,000 (the “Cap”), whereupon such indemnification obligations shall cease; provided, however, that the Basket and Cap shall not apply to any breach of the representations and warranties under Sections 5.1, 5.2, 5.3, 5.5, 5.10, 5.13, 5.14 and 5.20, any breach of the covenants contained in Articles 7 or 8, or in the event of fraud, gross negligence, or intentional misrepresentation by Seller, provided however, that no indemnification by the Seller pursuant to this Agreement shall exceed the Purchase Price in any circumstance.
-
Seller shall not be entitled to indemnification for Losses (i) unless and until the Losses exceed the Basket, after which Buyer shall indemnify for the entire amount of the Losses, from the first dollar, subject to the Cap, and (ii) in an aggregate amount in excess of the Cap, whereupon such indemnification obligations shall cease; provided, however, that the Basket and Cap shall not apply to any breach of the representations and warranties under Sections 6.1, 6.2, and 6.3, any breach of the covenants contained in Article 7, or in the event of fraud, gross negligence, or intentional misrepresentation by Buyer.
-
The amount of Losses for which any Indemnified Party may be entitled to seek indemnification under this Agreement will be reduced by the amount of any insurance proceeds or other payment from a third party that is received by such party with respect to such Losses. If a party to this Agreement, after having received any indemnification payment from an Indemnitor pursuant to this Agreement with respect to Losses, subsequently receives any insurance proceeds with respect to such Losses that then causes the recovery to exceed the amount of such Losses, such Indemnified Party will promptly refund and pay to the Indemnitor an amount equal to the excess amount received above the amount of such party’s Losses.
-
An Indemnified Party shall not be entitled to recover any Losses relating to any matter arising under one provision of this Agreement (the “Subject Provision”) to the extent that such Indemnified Party has already recovered or claimed Losses with respect to such matter pursuant to another provision of this Agreement and recovery under such Subject Provision would result in a duplication of recovery with respect to such matter.
-
In no event will any party to this Agreement be liable under this Agreement (for indemnification or otherwise) to any other party to this Agreement for punitive or consequential damages in connection with any Losses; provided, however, that the limitations set forth herein shall not prevent or limit an Indemnified Party from being indemnified for all components of awards against such indemnified party that are awarded in a third-party claim.
10.6
Defense of Third-Party Claims. Upon receipt by the Indemnitor of a Claim Notice from the Indemnified Party with respect to any claim, action, litigation, or proceeding by a third party, the Indemnitor has the absolute right, at its election, to assume the defense thereof with counsel reasonably satisfactory to the Indemnified Party, and the Indemnified Party shall cooperate in all reasonable respects in such defense. If the Indemnitor does not notify the Indemnified Party within twenty (20) days after receipt of the Claim Notice that it elects to undertake the defense thereof, the Indemnified Party shall have the right to defend the claim with counsel of its choosing at the expense of the Indemnitor. The Indemnified Party shall send a written notice to the Indemnitor of any proposed settlement of any claim, which settlement the Indemnitor may reject in its reasonable judgment within ten days of receipt of such notice. The Indemnified Party shall have the right to settle any such claim over the objection of the Indemnitor unless the Indemnitor is contesting such claim in good faith and the Indemnitor assumes the defense from the Indemnified Party.
10.7
Mitigation. The parties hereto shall reasonably cooperate with each other with respect to resolving any indemnifiable claim hereunder, including by making commercially reasonable efforts to mitigate and resolve any such claim or liability.
ARTICLE 11
TERMINATION
11.1

(a)
by either Buyer or Seller if a material breach of any provision of this Agreement has been committed by the other party and the breach has not been waived;
(b)
by Buyer if any of the conditions precedent to Buyer's closing obligations have not been satisfied as of the Closing Date or if satisfaction of a condition is or becomes impossible (other than through the failure of Buyer to comply with Buyer's obligations under this Agreement) and Buyer has not waived the condition on or before the Closing Date;
(c)
if any of the conditions precedent to Seller's closing obligations have not been satisfied as of the Closing Date or if satisfaction of a condition is or becomes impossible (other than through the failure of Seller to comply with Seller's obligations under this Agreement) and Seller has not waived the condition on or before the Closing Date;
(d)
by mutual consent of Buyer and Seller; or
(e)
by Buyer upon written notice to Seller if Ameriprise declines to approve this Agreement, withdraws or materially modifies the Ameriprise Offer Letter, or notifies Boshart that the loan constituting the source of the Purchase Price will be withheld, forfeited, reduced, or converted.
11.2
Termination Procedure. If this Agreement is terminated pursuant to this Article, the party or parties so electing to terminate shall give written notice to that effect to the other party or parties, and this Agreement shall terminate and the transactions contemplated by this Agreement shall be abandoned without further action by either party.
11.3
Effect of Termination and Breach of Agreement. If this Agreement is terminated other than pursuant to a breach by Buyer or by Seller, the parties shall have no further duties, obligations, or rights to or against each other. If this Agreement is terminated pursuant to a breach of this Agreement by Buyer, Seller shall have the right to pursue any rights and remedies
as Seller may have, at law or in equity, against Buyer with respect to the breach. If this Agreement is terminated pursuant to a breach of this Agreement by Seller, Buyer shall have the right to pursue any rights and remedies as Buyer may have, at law or in equity, against Seller with respect to the breach.
ARTICLE 12
CLIENT CONSENTS, REGULATORY MATTERS AND TRANSITION
12.1 Client Consents. Promptly following the Effective Date, Buyer shall prepare, and deliver notices to each client and plan sponsor comprising the Book of Business seeking consent (or, where permitted by law and by the terms of the applicable client agreement, negative consent) to the assignment of the applicable client agreement to Buyer and to the transition of the account to Ameriprise. The form and content of such notices, and the timing of their delivery, shall comply with the Investment Advisers Act, ERISA, applicable state Law, all applicable privacy requirements, and any transition instructions given to Boshart by Ameriprise or by counsel retained by Ameriprise. Seller shall promptly provide Buyer with copies of all consents, objections and client communications received.
12.2 Transition of Customer Accounts. (a) The Parties acknowledge that the Customer Accounts and other client relationships comprising the Book of Business are expected to transition to Ameriprise through client-directed account transfers in accordance with applicable Law. (b) Seller shall cooperate in good faith with Buyer, Boshart and Ameriprise to facilitate such transition, shall not impede, delay, or discourage any client’s request to transfer an account or relationship to Buyer or Ameriprise, and shall not take any action inconsistent with the transfer of the Book of Business to Buyer.
12.3
Release of Boshart Restrictive Covenants. Effective as of the Closing, Seneca and Financial Quest shall execute and deliver an instrument in form and substance reasonably acceptable to Buyer and to Ameriprise (the “Boshart Release”) pursuant to which Seneca and Financial Quest (a) irrevocably waive and release Boshart from the non-interference and non-solicitation covenant set forth in the Boshart Representative Agreement, and from any other restriction under the Boshart Representative Agreement or otherwise that would restrict Boshart or Buyer from soliciting, servicing or accepting business from any client comprising the Book of Business; (b) consent to Boshart’s and Buyer’s retention and use, from and after the Closing, of the Confidential Information described in the Boshart Representative Agreement to the extent comprising Purchased Assets; (c) confirm that Seneca does not and will not assert the confidentiality and non-solicitation provisions enforceable by it under the Boshart Representative Agreement; (d) waive any right to withhold consent under the Boshart Representative Agreement or the FIS Agreement in connection with Boshart’s resignation and transition; and (e) covenant not to commence or support any action against Boshart, Buyer or Ameriprise alleging breach of any non-solicitation covenant or misappropriation of trade secrets arising out of the transactions contemplated hereby.
12.4 Regulatory Inquiries; Cooperation. If any Governmental Authority commences any inquiry, examination, investigation or proceeding relating to the pre-Closing operation of the Business after the Closing, (a) each Party shall promptly notify the other, (b) Seller shall lead and control the response and defense at its expense, subject to Buyer’s right to participate with counsel of its choosing at its own expense where the matter also implicates Buyer’s post-Closing operations or licensure, and (c) the Parties shall cooperate reasonably in providing information, witnesses and records. Losses arising from any such matter relating to the pre-Closing operation of the Business shall be Excluded Liabilities.
12.5 Form U-5 and Regulatory Reporting. (a) Seller shall not make to LPL, to Ameriprise, to FINRA or to any other Governmental Authority any statement or report concerning Boshart that is untrue, inaccurate, incomplete, or misleading, or that is made for the purpose of impeding the
transactions contemplated hereby. (b) Seller shall promptly notify Buyer in writing if Seller becomes aware of any compliance review, inquiry or disciplinary matter involving Boshart (c) Seller shall cooperate in good faith with reasonable requests from Buyer, Boshart, or Ameriprise in connection with the timely and accurate filing of any Form U-5 by LPL, and, if a Form U-5 filed by LPL contains any inaccurate disclosure attributable to information furnished by Seller, promptly correcting that information with LPL in writing.
ARTICLE 13
GENERAL
13.1
Risk of Loss. The risk of loss or destruction of, or damage to, the Purchased Assets (a "Loss") shall be on Seller at all times on or before the Closing Date. Seller shall take all reasonable steps consistent with Seller's normal business practices to repair, replace, and restore the Purchased Assets as soon as possible after any Loss. All insurance proceeds received by Seller with respect to any Loss shall be applied to replacement, restoration, or repair, or if not so applied before the Closing Date, shall be remitted to Buyer promptly after receipt. Any obligation of Seller to repair, replace, and restore the Purchased Assets shall terminate on the Closing Date or upon the termination of this Agreement. Notwithstanding any other provision of this Section, Seller shall be entitled to retain any insurance proceeds to the extent Seller has previously expended amounts to repair, replace, or restore a Loss to the Purchased Assets on or before the Closing Date.
13.2
Survival of Representations, Warranties, Covenants, and Indemnities. All representations, warranties, covenants, and indemnities made by any party to this Agreement shall, to the extent applicable, survive the Closing, provided that the survival of the representations and warranties shall be governed exclusively by Section 10.1. 13.3
Assignment and Benefits. This Agreement shall be binding upon, inure to the benefit of, and be enforceable by and against the respective successors and permitted assigns of each of the parties to this Agreement.
