Item 1.01     Entry into a Material Definitive Agreement

On October 27, 2026, Installed Building Products, Inc., a Delaware corporation (the “Company”), and certain of its affiliates entered into Amendment No. 5 to Term Loan Credit Agreement (the “Fifth Amendment”) with Royal Bank of Canada, as term administrative agent, term collateral agent and 2026 incremental term lender, which amends the existing Term Loan Credit Agreement, dated as of December 14, 2021, by and among the Company, Royal Bank of Canada, as term administrative agent and term collateral agent and the lenders party thereto (as amended by Amendment No. 1 to Term Loan Credit Agreement, dated as of April 28, 2023, and as further amended by Amendment No. 2 to Term Loan Credit Agreement, dated as of August 14, 2023, and as further amended by Amendment No. 3 to Term Loan Credit Agreement, dated as of March 28, 2024, and as further amended by Amendment No. 4 to Term Loan Credit Agreement, dated as of November 26, 2024, the “Existing Credit Agreement”). RBC Capital Markets acted as lead left arranger and bookrunner and JPMorgan Chase Bank, N.A., BofA Securities, Inc., Goldman Sachs Bank USA, The Huntington National Bank, KeyBanc Capital Markets Inc., PNC Capital Markets LLC, StoneX Financial Inc., and U.S. Bank National Association acted as joint lead arrangers and bookrunning managers, for the Fifth Amendment. Some of the joint lead arrangers, lenders and their respective affiliates have engaged in, and may in the future engage in, banking and other commercial dealings in the ordinary course of business with the Company or its affiliates.

The Fifth Amendment provides for $250 million of incremental term loans (the “2026 Incremental Term Loans”) as an increase to the Company’s existing Tranche B-3 Term Loans under the Existing Credit Agreement, which were funded on October 27, 2026, concurrently with the effectiveness of the Fifth Amendment. The 2026 Incremental Term Loans have identical terms to, and form a single class with, the existing Tranche B-3 Term Loans. After giving effect to the funding of the 2026 Incremental Term Loans, the aggregate principal amount of term loans outstanding under the Existing Credit Agreement, as amended by the Fifth Amendment (the “Amended Credit Agreement”), is approximately $737.5 million. The term loans bear interest, at the Company’s option, at a rate equal to either the adjusted term secured overnight financing rate plus 1.75% per annum or an alternative base rate plus 0.75% per annum, and mature on March 28, 2031.

The foregoing summary of the Fifth Amendment and the transactions contemplated thereby does not purport to be complete and is subject to and qualified in its entirety by reference to the full text of the Fifth Amendment, a copy of which is attached hereto as Exhibit 10.1 and incorporated herein by reference.
