On an Assigned Program-by-Assigned Program basis, Bambusa shall use its Commercially Reasonable Efforts to obtain the IND Approval of the Product containing the Lead Development Candidate(s) in such Assigned Program. If, at any time before the lapse of a six (6)-month period commencing upon issuance of the final GLP toxicology study report in relation to a Product in any of the Assigned Programs, Bambusa determines in good faith after consultation with Biotheus that the IND Approval of a Product containing the Lead Development Candidate(s) in the corresponding Assigned Program will, more likely than not, be unavailable due to such Product’s toxicity issues that are not identified and disclosed to Bambusa prior to execution of the Prior Agreement, then such Assigned Program shall be referred to as a “Failed Program” and the Assigned Compounds in such Assigned Program shall be referred to as the “Failed DCs”. Bambusa and Biotheus shall work together in good faith to analyze and investigate the fundamental reasons for the occurrence of such failure. After such analysis and investigation, Bambusa and Biotheus shall determine (acting in good faith) whether the failure was due to toxicity issues (either pre-GLP toxicity or GLP toxicity) that are not identified and disclosed to Bambusa prior to execution of the Prior Agreement. If Bambusa and Biotheus cannot agree on the cause of such failure, the question shall be referred to an expert for independent determination. The Parties will
15

jointly appoint, in good faith, an independent expert with experiences in biopharmaceutical industry who is not a current employee, subcontractor, agent, or consultant of either Party or any of its Affiliates, or has not been a former employee, subcontractor, agent, or consultant of either Party or any of its Affiliates (an “Expert”). If Parties cannot jointly appoint one Expert within fifteen (15) days of either Party seeking in writing to jointly appoint one Expert with the other Party (“First Selection Period”), then each Party shall select one Expert within seven (7) days after expiration of the First Selection Period and the two Experts so selected shall mutually select a third Expert within seven (7) days after the appointment of the second Expert. The third Expert so selected will be responsible for determining the cause of such failure. The Parties shall provide all information and materials reasonably requested by the Expert in formulating his or her opinion. The Expert will be asked to make and deliver his or her determination of the cause of such failure within thirty (30) days after being selected and the Expert’s determination shall be final and binding on the Parties. If the Parties agree that or the Expert determine that such failure was due to such Product’s toxicity issues (either pre-GLP toxicity or GLP toxicity) that are not identified and disclosed to Bambusa prior to execution of the Prior Agreement, Bambusa shall have the right to replace such Failed Program with one of the Reserved Programs by providing Biotheus with written notice thereof, and such Reserved Program shall thereafter become a “Replacement Program”. Upon Biotheus’ receipt of such written notice, (i) the Replacement Program shall be deemed an Assigned Program and the terms and conditions of the Prior Agreement and this Agreement governing the Assigned Programs shall apply to such Replacement Program; and (ii) the Failed DCs shall no longer be deemed to be Assigned Compounds and the Failed Program shall no longer be deemed to be an Assigned Program under the Prior Agreement and this Agreement, and all of the right, title and interest assigned to Bambusa under Section 2.1 (Assignment) with respect to the Failed DCs and Failed Program shall revert to Biotheus. Bambusa shall only have the right to exercise its replacement right for a maximum of one time with respect to each Assigned Program that has not been previously replaced in accordance with the replacement procedure under this clause, and accordingly the maximum number of times that Bambusa may exercise its replacement right under this clause shall be two (2).
ii)Replacement Exclusivity. During the period commencing on the Assignment Completion Date and ending on the date of the lapse of a six (6)-month period commencing upon issuance of the final GLP toxicology study report in relation to a Product in any of the Assigned Programs,
16

without the prior written consent of Bambusa, Biotheus shall not and shall cause its Affiliates not to, assign, transfer, convey or dispose of, or grant any exclusive or non-exclusive license under, any compounds or any Intellectual Property Rights specifically derived from or related to any Reserved Program, to any Third Party, or enter into any agreement with any Third Party to conduct or promise to conduct any of the foregoing.
iii)Adimab Upstream License Fees. In the event that Bambusa determines to select the [***] (which are two of the Reserved Programs as listed in Schedule 1.46 attached hereto) pursuant to Section 5.4(i), subject to the terms and conditions of this Agreement and the Adimab Upstream License, and conditional upon Bambusa’s payments under Section 5.4(iii), Biotheus hereby grants to Bambusa a royalty-free, worldwide, non-exclusive, sublicensable, with the right to further sublicense through multiple tiers, to use the [***] (as defined in the Adimab Upstream License), in the Field (as defined in the Adimab Upstream License), for the purposes of Bambusa to research, develop, have developed, make, have made, use, sell, offer to sell, import and export Optioned Products (as defined in the Adimab Upstream License); and (ii) all the fees and expenses in relation to the said selected Reserved Programs payable under Article 3 of the Adimab Upstream License (except for the Annual Access Fee as specified in Article 3.1 of the Adimab Upstream License) shall be borne by Bambusa. The contents of said Article 3 of the Adimab Upstream License are enclosed hereto as Schedule 5.4 (iii) which shall be incorporated, mutatis matandis, into this Agreement by reference.
For each of the aforementioned Replacement Programs (i.e. [***]), Bambusa shall make non-refundable and non-creditable payments to Biotheus (or at Biotheus, request, to Biotheus’ designee such as the Adimab Upstream Licensor) the fees payable by Biotheus arising from the Adimab Upstream License due to any of such two Replacement Programs. It is acknowledged and agreed that all fees payable by Biotheus under Article 3 of the Adimab Upstream License due to said Replacement Programs shall be borne by Bambusa on a pass-through basis, without incurring any additional liabilities, costs, expenses, taxes on Biotheus.
The Parties acknowledge and agree that for each Reserved Program, Bambusa will not bear any fees or expenses under the Adimab Upstream License unless and until Bambusa exercises its right to replace any Failed Program with one of such two Reserved Programs pursuant to Section 5.4(i).
iv)In the event that Bambusa fails to make payments in time according to this Agreement, and such failure results in any indemnification by Biotheus
17

under the Adimab Upstream License, Biotheus shall be fully indemnified by Bambusa for all of its losses, costs, expenses and damages incurred by Biotheus under the Adimab Upstream License arising from Bambusa’s such default hereunder.

21

8.2.Termination.
8.2.1.Termination for Material Breach. Upon any material breach of this Agreement by a Party, and if such breaching Party fails to remedy within [***] days after receipt of written notice of such material breach from the non-breaching Party, the non-breaching Party will have the right to terminate this Agreement with immediate effect by providing written notice to the breaching Party.

8.3.5.Special Termination. Upon and only upon termination of this Agreement by Biotheus pursuant to Section 8.2.1, 8.2.2, or 8.2.3 (a “Special Termination”), Bambusa shall, and shall procure its Affiliates and Licensees to, without any demur, delay or protest:
8.3.5.1.immediately cease all activities relating to the research, development, manufacture, commercialization or other exploitation of the Assigned Compounds and the Products in the Territory;

23

Rights in relation to the Assigned Compounds or the Products, as well as promptly transfer any documentation thereto, including licenses, approvals etc., as well as all research, development and clinical data in relation to Assigned Compounds or the Products, in a manner sufficient to enable Biotheus or its designees to continue the research, development, manufacture and commercialization of the Assigned Compounds or the Products in the Territory;
8.3.5.4.take such action, render such assistance, and execute and deliver, or cause to be executed and delivered, to Biotheus such further instruments as requested by Biotheus in order to give effect to, evidence and perfect the assignment and delivery set forth in this Section 8.3.5;
8.3.5.5.covenant to Biotheus and its Affiliates that Bambusa and its Affiliates will not initiate any judicial or administrative claim, suit, or proceeding against Biotheus or any of its Affiliates alleging that the research, development, manufacturing or commercialization of any Assigned Compound or Product by Biotheus or any of its Affiliates infringes any Arising IP. 9.Miscellaneous.
9.1.Assignment. Any assignment in violation of this Section 9.1 will be null and void. In addition, Bambusa’s failure to comply with the foregoing covenant shall constitute a material breach of Bambusa, which shall entitle Biotheus to terminate this Agreement with respect to the relevant Assigned Program in accordance with Section 8.2.1 of this Agreement.
9.2.Affiliates. Licensees and Contractors. Bambusa may use one or more of its Affiliates, Licensees or contractors to perform its obligations and duties or exercise its rights under this Agreement, solely to the extent permitted and as specified in this Agreement; provided, however, that (a) each such Affiliate, Licensee or contractor will perform any such obligations delegated to it in compliance with the applicable terms and conditions of this Agreement as if such Affiliate, Licensee or contractor were a party hereto, (b) the performance of any obligations of Bambusa by its Affiliates, licensees or contractors will not diminish, reduce or eliminate any obligation of Bambusa under this Agreement, and (c) subject to Bambusa’s assignment to an Affiliate pursuant to Section 9.1, Bambusa will remain liable under this Agreement for the prompt payment and performance of all of its obligations under this Agreement.

9.4.Severability. If one (1) or more of the terms or provisions of this Agreement is held by a court of competent jurisdiction to be void, invalid, or unenforceable in any situation in any jurisdiction, such holding shall not affect the validity or enforceability of the remaining terms and provisions hereof or the validity or enforceability of the void, invalid, or unenforceable term or provision in any other situation or in any other jurisdiction, and the term or provision shall be considered severed from this Agreement solely for such situation and solely in such jurisdiction, unless the void, invalid, or unenforceable term or provision is of such essential importance to this Agreement that it is to be reasonably assumed that the Parties would not have entered into this Agreement without the void, invalid, or unenforceable term or provision. If the final judgment of such court declares that any term or provision hereof is void, invalid, or unenforceable, the Parties agree to: (a) reduce the scope, duration, area, or applicability of the term or provision or
25

to delete specific words or phrases to the minimum extent necessary to cause such term or provision as so reduced or amended to be enforceable; and (b) make a good-faith effort to replace any void, invalid, or unenforceable term or provision with a valid and enforceable term or provision such that the objectives contemplated by the Parties when entering this Agreement may be realized.

Any dispute arising out of or in connection with this Agreement shall be submitted to the American Arbitration Association (“AAA”) for arbitration in accordance with the rules of AAA as in effect at the time of the arbitration. The seat, or legal place, of arbitration will be in New York. There shall be three arbitrators, one of whom shall be appointed by each party. The third arbitrator, who shall be the presiding arbitrator, shall be appointed by the two arbitrators appointed by the Parties, or if the parties fail to agree on the third arbitrator within [***] days, in accordance with the AAA rules.

The Parties acknowledge and agree that (i) this Agreement amends and restates the Prior Agreement in its entirety and (ii) the terms and provisions of this Agreement supersede the terms and provisions of the Prior Agreement in all respects.
9.8.Waivers.
