The Senior Notes shall be effectively subordinate to any Non-Recourse Indebtedness (including any Securitization Debt and any Non-Recourse Secured Warehouse Facilities) to the extent of the value of the assets securing such secured Non-Recourse Indebtedness.

5.Redemption.

(a)Optional Redemption by the Company. This Senior Note may be redeemed by the Company, at its option, in whole or in part from time to time in the amounts reflected in Section 5(b) below but in all cases in a principal amount with integral multiples of $1,000. In the event the Company elects to redeem any Senior Notes in whole or in part, the Company shall give written notice to the Paying Agent of the principal amount of such Senior Notes to be so redeemed in accordance with the terms set forth in the Senior Notes not less than thirty (30) nor more than sixty (60) calendar days prior to the date set for redemption. The Paying Agent shall cause notice of redemption to be given to the holders of the Senior Notes to be redeemed in accordance with the terms set forth herein in the name and at the expense of the Company. Whenever less than all of the Senior Notes of like tenor and terms are to be redeemed, the Paying Agent shall reduce the principal amount of one or more Global Senior Notes, by the amount of such redemption, by means of an appropriate adjustment on the records of the Paying Agent. If less than the then outstanding principal amount of this Senior Note is redeemed, (i) a new Senior Note shall be issued representing the unredeemed portion without charge to the holder thereof and (ii) such redemption shall be effected on a pro rata basis as to the Noteholders. For purposes of clarity, upon a partial redemption, a like percentage of the principal amount of every Senior Note held by every Noteholder shall be redeemed.

(b)Optional Redemption Amounts.

(d)Effectiveness of Redemption. If a notice of redemption has been duly given and notwithstanding that this Senior Note has been called for redemption but has not yet been surrendered for cancellation, on and after the date fixed for redemption and payment of the amount payable on such redemption, interest shall cease to accrue on the portion of this Senior Note called for redemption, this Senior Note shall no longer be deemed outstanding with respect to the portion called for redemption and all rights with respect to the portion of this Senior Note called for redemption shall forthwith on such date fixed for redemption cease and terminate unless the Company shall default in the payment of the redemption price, except only the right of the holder hereof to receive the amount payable on such redemption, without interest. For purposes of clarity, any redemption made pursuant to the terms of this Senior Note shall be made on a pro rata basis, and, for purposes of a redemption processed through DTC, on a “Pro Rata Pass-Through Distribution of Principal” basis, among all of the Senior Notes outstanding at the time thereof.

(f)Secured Notes. Immediately upon the cancellation of any Senior Notes pursuant to this Section 5, the security interest of the holders of such Senior Notes in the Collateral shall automatically be deemed to be released, and the holders of the Senior Notes shall execute and deliver to the Company any and all documentation reasonably requested and prepared by the Company at its expense to evidence such automatic release.

(c)If any Global Senior Note is to be exchanged for other Senior Notes or canceled in part, or if another Senior Note is to be exchanged in whole or in part for a beneficial interest in any Global Senior Note, then either (i) such Global Senior Note shall be so surrendered for exchange or cancellation as provided in this Section 6 or (ii) the principal amount thereof shall be reduced or increased by an amount equal to the portion thereof to be so exchanged or canceled, or equal to the principal amount of such other Senior Note to be so exchanged for a beneficial interest therein, as the case may be, by means of an appropriate adjustment made on the records of the Company or, if applicable, the Company’s registrar and transfer agent (“Registrar”), whereupon the Company or, if applicable, the Registrar, in accordance with the applicable rules and procedures of the Depositary (“Applicable Depositary Procedures”), shall instruct the Depositary or its authorized representative to make a corresponding adjustment to its records. Upon any such surrender or adjustment of a Global Senior Note by the Depositary, accompanied by registration instructions, the Company shall execute and deliver any Senior Notes issuable in exchange for such Global Senior Note (or any portion thereof) in accordance with the instructions of the Depositary.

The Registrar shall have no liability in respect of any transfers undertaken by the Depositary.

(f)The rights of owners of beneficial interests in a Global Senior Note shall be exercised only through the Depositary and shall be limited to those established by law and agreements between such owners and the Depositary and/or its participants.

(g)No holder of any beneficial interest in any Global Senior Note held on its behalf by a Depositary shall have any rights with respect to such Global Senior Note, and such Depositary may be treated by the Company and any agent of the Company as the owner of such Global Senior Note for all purposes whatsoever. Principal and interest will be considered paid on the date due if the Company holds as of 11:00 A.M., New York, New York time, on any Interest Payment Date, an amount in immediately available funds provided by the Company that is designated for and sufficient to pay all principal and interest then due.

(d)Maintenance of Office. The Company will maintain an office or agency in the State of New York where Senior Notes may be surrendered for registration of transfer or for exchange and where notices and demands to or upon the Company in respect of the Senior Notes may be served, which may be the office of the Paying Agent. The Company may also from time to time designate one or more other offices or agencies where the Senior Notes may be presented or surrendered for any or all such purposes and may from time to time rescind such designations; provided that no such designation or rescission will in any manner relieve the Company of its obligation to maintain an office or agency in the State of New York. The Company will give prompt written notice to the Noteholders of any such designation or rescission and of any change in the location of any such other office or agency.

(e)Existence. The Company will do or cause to be done all things necessary to preserve and keep in full force and effect: (i) the existence and good standing of the Company; (ii) the existence (corporate or other) of each Subsidiary; and (iii) the rights (charter and statutory), licenses and franchises of the Company and each of its Subsidiaries; provided, that the Company will not be required to preserve the existence (corporate or other) of any of its Subsidiaries or any such right, license or franchise of the Company or any of its Subsidiaries if the Company determines that the preservation thereof is no longer desirable in the conduct of the business of the Company and its Subsidiaries taken as a whole and that the loss thereof will not be disadvantageous in any material respect to the Noteholders.

(f)Compliance with Laws. The Company will, and will cause each of its Subsidiaries to, comply with all laws, ordinances or governmental rules or regulations to which each of them is subject and will obtain and maintain in effect all licenses, certificates, permits, franchises and other governmental authorizations necessary to the ownership of their respective properties or to the conduct of their respective businesses, in each case to the extent necessary to ensure that non-compliance with such laws, ordinances or governmental rules or regulations or failures to obtain or maintain in effect such licenses, certificates, permits, franchises and other governmental authorizations would not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect.

(g)Insurance. The Company will, and will cause each of its Subsidiaries to, maintain, with financially sound and reputable insurers, insurance with respect to their respective properties and businesses against such casualties and contingencies, of such types, on such terms and in such amounts (including deductibles, co-insurance and self-insurance, if adequate reserves are maintained with respect thereto) as is customary in the case of entities of established reputations engaged in the same or a similar business and similarly situated.

(h)Payment of Taxes and Claims. The Company will, and will cause each of its Subsidiaries to, file all tax returns required to be filed in any jurisdiction and to pay and discharge all taxes shown to be due and payable on such returns and all other taxes, assessments, governmental charges, or levies imposed on them or any of their properties, assets, income or franchises, to the

extent the same have become due and payable and before they have become delinquent and all claims for which sums have become due and payable that have or might become a lien on properties or assets of the Company or any Subsidiary; provided that neither the Company nor any Subsidiary need pay any such tax, assessment, charge, levy or claim if (i) the amount, applicability or validity thereof is contested by the Company or such Subsidiary on a timely basis in good faith and in appropriate proceedings, and the Company or a Subsidiary has established adequate reserves therefor in accordance with GAAP on the books of the Company or such Subsidiary or (ii) the nonpayment of all such taxes, assessments, charges, levies and claims would not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect.

(i)Books and Records. The Company will, and will cause each of its Subsidiaries to, maintain proper books of record and account in conformity with GAAP and all applicable requirements of any Governmental Agency having legal or regulatory jurisdiction over the Company or such Subsidiary, as the case may be. The Company will, and will cause each of its Subsidiaries to, keep books, records and accounts which, in reasonable detail, accurately reflect all transactions and dispositions of assets. The Company and its Subsidiaries have devised a system of internal accounting controls sufficient to provide reasonable assurances that their respective books, records, and accounts accurately reflect all transactions and dispositions of assets and the Company will, and will cause each of its Subsidiaries to, continue to maintain such system.

(j)Maintenance of Liens. The Company will, at its own expense, take or cause to be taken, all action reasonably required on behalf of the Noteholders to maintain and preserve the perfection and first priority of the Lien (subject to Permitted Liens) on the Collateral granted under any Collateral Document, including without limitation filing all Uniform Commercial Code continuation statements in the appropriate jurisdictions and other matters included in the Collateral Requirements (as defined in the Security Agreement),

(k)Further Assurances; Collateral Documents. Promptly upon reasonable request by the Required Holders, the Company will (i) correct any material defect or error that may be discovered in the execution, acknowledgment, filing or recordation of any Collateral Document or other document or instrument relating to any Collateral, and (ii) do, execute, acknowledge, deliver, record, re-record, file, re-file, register and re-register any and all such further acts, deeds, certificates, assurances and other instruments as the Required Holders may reasonably request from time to time in order to (x) carry out more effectively the purposes of the Collateral Documents and/or (y) perfect and maintain the validity, effectiveness and priority of any of the Collateral Documents and any of the Liens (subject to Permitted Liens) intended to be created thereunder, in each case, to the extent required pursuant to the Collateral Documents.

(l)Waiver of Certain Covenants. The Company may omit in any particular instance to comply with any term, provision or condition set forth in this Section 10, with respect to if before the time for such compliance the Required Holders have waived such compliance with such term, provision or condition, but no such waiver will extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver will become effective, the obligations of the Company in respect of any such term, provision or condition will remain in full force and effect.

(m)Visitation. The Company shall permit representatives designated by the Required Holders and approved by the Company, such approval not to be unreasonably withheld, (i) if no Default or Event of Default then exists, at the expense of such Noteholder and upon prior reasonable prior notice to the Company and during normal business hours, to visit the principal

executive office of the Company, to discuss the affairs, finances and accounts of the Company and its Subsidiaries with the Company’s officers and (with the consent of the Company, which consent shall not be unreasonably delayed, conditioned or withheld) to visit the other offices and properties of the Company and its Subsidiaries, all at such reasonable times and as often as may be reasonably requested in writing, and (ii) if a Default or Event of Default then exists, at the expense of the Company, to visit and inspect any of the offices or properties of the Company or any Subsidiary, to examine all of their respective books of account, records, reports and other papers, to make copies and extracts therefrom, and to discuss their respective affairs, finances, and accounts with their respective officers and independent public accountants (and by this provision the Company authorizes its accountants to discuss the affairs, finances and accounts of the Company and its Subsidiaries with such representatives; provided that, at the Company’s election, one or more officers or other representatives of the Company shall be present during such discussion), all at such times and as often as may be requested.

Notwithstanding the foregoing provisions of this Section 10(k) or any other provision of this Note to the contrary, (i) such visitations will not materially interfere with the use of either the Company’s or its Subsidiaries’ properties or the operation of either the Company’s or its Subsidiaries’ businesses, (ii) all visits, inspections and audits shall be limited to one (1) visit per twelve (12) month period so long as no Default or Event of Default is continuing, (iii) the Company and it is Subsidiaries shall not be required to disclose or discuss, or permit the inspection, examination or making of extracts of, any records, books, information or account or other matter (A) in respect of which disclosure to any Noteholder or its representatives is then prohibited by applicable law or any agreement binding on either the Company or any Subsidiary, or (B) that is protected from disclosure by the attorney-client privilege or the attorney work product doctrine.

11.Negative Covenants. The Company covenants that so long as any of the Senior Notes are outstanding:

Neither the Company nor any of its Subsidiaries shall issue additional Recourse Indebtedness (excluding, for the avoidance of doubt, the 2031 Notes) unless (i) the Pro Forma Interest Coverage Ratio for the most recent trailing four (4) quarter period for which financial statements are available is greater than 1.25 to 1.00.

(b)Limitation on Additional Recourse Indebtedness. Neither the Company nor any of its Subsidiaries will create, incur, assume or permit to exist any Recourse Indebtedness that is senior in right of payment to the Senior Notes without the consent of the Required Holders other than any Recourse Indebtedness secured exclusively by Permitted Liens. For the avoidance of doubt, this limitation does not include any Non-Recourse Indebtedness. For the avoidance of doubt, Indebtedness shall not be deemed to rank senior in right of payment solely because it has an earlier maturity date or is unsecured.

(c)Restricted Payments. The Company will not (i) make any cash dividend or other distribution to any of its equity holders other than tax distributions for any taxable period for which the Company is treated as a partnership (or disregarded as an entity separate from a partnership) that is not wholly-owned by a corporate parent for U.S. federal income tax purposes, in an aggregate amount for such taxable period not to exceed the product of (1)(a) the taxable income of the Company for such taxable period, reduced by (b) any taxable loss of the Company with respect to any prior taxable period ending after the Issue Date to the extent such prior losses are of a character that would permit such losses to be deducted against the income or gain of the current

24

taxable period and have not previously been taken into account pursuant to this clause (1) in determining amounts distributable for a prior taxable period, and (2) the highest combined marginal U.S. federal, state and/or local income tax rate (taking into account the character of the taxable income in question (e.g., long term capital gain, qualified dividend income, etc.)) applicable to any equityholder, and only to the extent that no Default or Event of Default exists at the time of such tax distribution, (ii) repurchase or redeem any of its equity interests or any warrants, options or other rights in respect thereof, (iii) pay any management fees or similar fees to any of its equity holders or any Affiliate thereof other than management fees payable to Melodeon pursuant to contractual commitments in existence on the Issue Date provided no Default or Event of Default shall have occurred or shall occur as a result of such Restricted Payment, or (iv) make any redemption, prepayment (whether mandatory or optional), defeasance, repurchase or any other payment in respect of any Indebtedness that is contractually subordinated in right of payment to the Senior Notes (other than any intercompany debt between or among the Company and its subsidiaries) provided that no payments by the Company in respect of any intercompany Indebtedness shall be made at any time that a Default or Event of Default shall have occurred or would occur as a result of such payment (each of the foregoing, a “Restricted Payment”), unless (A) after giving effect to such Restricted Payment the aggregate amount of all Restricted Payments made since the Issue Date would not exceed the sum of (1) $10,000,000, plus (2) 50% of cumulative Consolidated Net Income Before Tax since September 30, 2020, (B) no Event of Default has occurred both before and giving effect to such Restricted Payment and (C) to the extent otherwise constituting Restricted Payments, payments made after the closing of the De-SPAC Transaction to the Company’s corporate parent, the proceeds of which are used to (I) pay any tax liabilities in any jurisdiction in respect of consolidated, combined, unitary or affiliated returns and (II) pay operating expenses and other corporate overhead costs and expenses (including administrative, legal, accounting and similar expenses provided by third parties and any indemnification claims made by directors or officers) (in such case a “Permitted Restricted Payment”).

(d)Limitation on Liens. The Company shall not incur, assume, create or permit to exist any Lien on any of the Collateral (whether now owned or hereafter acquired), except the Permitted Liens, without the prior written consent of the Required Noteholders.

(e)Transactions with Affiliates. The Company will not, and will not permit any Subsidiary to, enter into directly or indirectly any transaction or group of related transactions with any Affiliate (other than the Company or another Subsidiary), except (i) in the ordinary course and pursuant to the reasonable requirements of the Company’s or such Subsidiary’s business and upon terms no less favorable to the Company or such Affiliate than would be obtained in a comparable arm’s length transaction with a person not an Affiliate, (ii) any agreements pursuant to which the Company or any of its Subsidiaries may lease or rent office space from one or more Affiliates on market terms, (iii) Restricted Payments permitted pursuant to Section 11(c) above, (iv) Non-Recourse Indebtedness (including any Securitization Debt and any Non-Recourse Secured Warehouse Facilities) and (v) sales of assets for cash to asset management funds managed by the Company or a Subsidiary thereof or to investors in such funds. For the avoidance of doubt, nothing in this Section 11(e) shall prohibit any transaction between the Company and any Subsidiary relating to any Non-Recourse Indebtedness.

(f)Change of Control. The Company shall not undertake a Change of Control, unless:

(i)The Company has first complied with the provisions of Section 5(c)

25

(Redemption by the Noteholders Upon a Change of Control) above;

(ii)To the extent any Noteholders elect not to redeem the Senior Notes held by such Noteholders, pursuant to Section 5(c) above, the continuing entity into which the Company is merged or the person which acquires by conveyance or transfer or which leases substantially all of the properties and assets of the Company shall be a corporation, association or other legal entity organized and existing under the laws of the United States of America, any State thereof or the District of Columbia and expressly assumes the due and punctual payment of the principal of and any premium and interest on the outstanding Senior Notes according to their terms, and the due and punctual performance of all covenants and conditions hereof on the part of the Company to be performed or observed; and

(iii)Immediately after giving effect to such transaction, no Default or Event of Default shall have occurred and be continuing.

(g)Line of Business. Except to the extent permitted by Section 11(c), the Company will not permit any Subsidiary to engage in any business if, as a result in each case, the general nature of the business in which the Company and its Subsidiaries, taken as a whole, would then be engaged would be substantially changed from the general nature of the business in which the Company and its Subsidiaries, taken as a whole, are engaged on the Issue Date.

12.Denominations. The Senior Notes are issuable only in registered form without interest coupons in minimum denominations of $100,000 and integral multiples of $1,000 in excess thereof.

13.Charges and Transfer Taxes. No service charge will be made for any registration of transfer or exchange of this Senior Note, or any redemption or repayment of this Senior Note, or any conversion or exchange of this Senior Note for other types of securities or property, but the Company may require payment of a sum sufficient to pay all taxes, assessments or other governmental charges that may be imposed in connection with the transfer or exchange of this Senior Note from the Noteholder requesting such transfer or exchange.

14.Payment Procedures. Payment of the principal and interest payable on the Maturity Date will be made by check, by wire transfer or by Automated Clearing House (ACH) transfer in immediately available funds to a bank account in the United States designated by the registered Noteholder if such Noteholder shall have previously provided wire instructions to the Company, upon presentation and surrender of this Senior Note at the Payment Office or at such other place or places as the Company shall designate by notice to the registered Noteholders as the Payment Office; provided that this Senior Note is presented to the Company in time for the Company to make such payments in such funds in accordance with its normal procedures. Payments of interest (other than interest payable on the Maturity Date) shall be made on each Interest Payment Date by wire transfer in immediately available funds or check mailed to the registered holder, as such person’s address appears on the Security Register. Interest payable on any Interest Payment Date shall be payable to the Noteholder in whose name this Senior Note is registered at the close of business on the fifteenth (15th) calendar day prior to the applicable Interest Payment Date, without regard to whether such date is a Business Day, except that interest not paid on the Interest Payment Date, if any, will be paid to the holder in whose name this Senior Note is registered at the close of business on a special record date fixed by the Company (a “Special Record Date”), notice of which shall be given to the Noteholder not less than ten (10) calendar days prior to such Special Record Date. To the extent permitted by applicable law, interest shall accrue, at the rate at which interest accrues on

the principal of this Senior Note, on any amount of principal or interest on this Senior Note not paid when due. All payments on this Senior Note shall be applied first against costs and expenses of the Noteholder, if any, for which the Company is liable under this Senior Note; then against interest due hereunder; and then against principal due hereunder. The Noteholder acknowledges and agrees that the payment of all or any portion of the outstanding principal amount of this Senior Note and all interest hereon shall be pari passu in right of payment and in all other respects to the other Senior Notes. For the avoidance of doubt, the Senior Notes shall also be pari passu in right of payment and, to the extent of the Collateral, in right of security, with the 2031 Notes, and any distributions of proceeds of Collateral shall be made on a pro rata basis among the holders of the Parity Secured Notes in accordance with the Collateral Documents. In the event that the Noteholder receives payments in excess of its pro rata share of the Company’s payments to the holders of all of the Senior Notes, then the Noteholder shall hold in trust all such excess payments for the benefit of the other holders and shall pay such amounts held in trust to such other holders upon demand by such holders.

15.Form of Payment. Payments of principal of and interest on this Senior Note shall be made in such coin or currency of the United States of America as at the time of payment shall be legal tender for the payment of public and private debts.

16.Registration of Transfer, Security Register. Except as otherwise provided herein, this Senior Note is transferable in whole or in part, and may be exchanged for a like aggregate principal amount of Senior Notes of other authorized denominations, by the Noteholder in person, or by its attorney duly authorized in writing, at the Payment Office or the offices of the Registrar. The Company or the Registrar shall maintain a register providing for the registration of the Senior Notes and any exchange or transfer thereof (the “Security Register”). Upon surrender or presentation of this Senior Note for exchange or registration of transfer, the Company or the Registrar shall execute and deliver in exchange therefor a Senior Note or Senior Notes of like aggregate principal amount, each in a minimum denomination of $100,000 or any amount in excess thereof which is an integral multiple of $1,000 (and, in the absence of an opinion of counsel satisfactory to the Company to the contrary, bearing the restrictive legend(s) set forth hereinabove) and that is or are registered in such name or names requested by the Noteholder. Any Senior Note presented or surrendered for registration of transfer or for exchange shall be duly endorsed and accompanied by a written instrument of transfer in such form as is attached hereto and incorporated herein, duly executed by the Noteholder or its attorney duly authorized in writing, with such tax identification number or other information for each person in whose name a Senior Note is to be issued, and accompanied by evidence of compliance with any restrictive legend(s) appearing on such Senior Note or Senior Notes as the Company may reasonably request to comply with applicable law. No exchange or registration of transfer of this Senior Note shall be made on or after (i) the fifteenth (15th) day immediately preceding the Maturity Date or (ii) the due delivery of notice of redemption.

17.Successors and Assigns. This Senior Note shall be binding upon the Company and inure to the benefit of the Noteholder and its respective successors and permitted assigns. The Noteholder may assign all, or any part of, or any interest in, the Noteholder’s rights and benefits hereunder only to the extent and in the manner permitted by the terms of this Note. To the extent of any such assignment, such assignee shall have the same rights and benefits against the Company and shall agree to be bound by and to comply with the terms and conditions of the Purchase

27

Agreement as it would have had if it were the Noteholder hereunder. Notwithstanding anything herein to the contrary, the Noteholders shall be permitted to transfer or assign any Senior Note to their respective Affiliates.

18.Priority. The Senior Notes rank pari passu among themselves and pari passu, in the event of any insolvency proceeding, dissolution, assignment for the benefit of creditors, reorganization, restructuring of debt, marshaling of assets and liabilities or similar proceeding or any liquidation or winding up of the Company, with all other present or future secured senior debt obligations of the Company, except (a) any Non-Recourse Indebtedness (including any Securitization Debt and any Non-Recourse Secured Warehouse Facilities) to the extent of the value of the related assets necessary to secure such Indebtedness, and (b) any secured senior debt that, pursuant to its express terms, is senior or subordinate in right of payment to the Senior Notes and is otherwise permitted pursuant to the terms hereof. Each holder of this Senior Note is entitled to the benefits of the Collateral Documents.

19.Ownership. Prior to due presentment of this Senior Note for registration of transfer, the Company may treat the holder in whose name this Senior Note is registered in the Security Register as the absolute owner of this Senior Note for receiving payments of principal and interest on this Senior Note and for all other purposes whatsoever, whether or not this Senior Note be overdue, and the Company shall not be affected by any notice to the contrary.

20.Waiver and Consent.

(a)This Senior Note may be amended or waived pursuant to, and in accordance with, the provisions set forth herein and as set forth in Section 7.3 of the Purchase Agreement. Any such consent or waiver given by the Noteholder shall be conclusive and binding upon such Noteholder and upon all subsequent holders of this Senior Note and of any Senior Note issued upon the registration of transfer hereof or in exchange therefor or in lieu hereof, whether or not notation of such consent or waiver is made upon this Senior Note. No delay or omission of the Noteholder to exercise any right or remedy accruing upon any Event of Default shall impair such right or remedy or constitute a waiver of any such Event of Default or an acquiescence therein.

(b)No waiver or amendment of any term, provision, condition, covenant or agreement in the Senior Notes shall be effective except with the consent of the Required Holders; provided, however, that without the consent of each Noteholder of an affected Senior Note, no such amendment or waiver may: (i) reduce the principal amount of any Senior Note; (ii) reduce the rate of or change the time for payment of interest on any Senior Note; (iii) extend the maturity of any Senior Note; (iv) change the currency in which payment of the obligations of the Company under the Senior Notes is to be made; (v) lower the percentage of aggregate principal amount of outstanding Senior Notes required to approve any amendment of the Senior Notes; (vi) make any changes to Section 5(a) (Optional Redemption by the Company), Section 7 (Events of Default), Section 18 (Priority), or this Section 20 (Waiver and Consent) of the Senior Notes that adversely affects the rights of any Noteholder; or (vii) disproportionately affect the rights of any of the holders of the then outstanding Senior Notes. Notwithstanding the foregoing, the Company may amend or supplement the Senior Notes without the consent of the Noteholders to cure any ambiguity, defect or inconsistency or to provide for uncertificated Senior Notes in addition to or in place of certificated Senior Notes, or to make any change that does not adversely affect the rights of any Noteholder of any of the Senior Notes. No failure to exercise or delay in exercising, by any Noteholder of the Senior Notes, of any right, power or privilege hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power or privilege preclude any other or further exercise

28

thereof, or the exercise of any other right or remedy provided by law, except as restricted hereby. The rights and remedies provided in this Senior Note are cumulative and not exclusive of any right or remedy provided by law or equity. No notice or demand on the Company in any case shall, in itself, entitle the Company to any other or further notice or demand in similar or other circumstances or constitute a waiver of the rights of the Noteholders to any other or further action in any circumstances without notice or demand. No consent or waiver, expressed or implied, by the Noteholders to or of any breach or default by the Company in the performance of its obligations hereunder shall be deemed or construed to be a consent or waiver to or of any other breach or default in the performance of the same or any other obligations of the Company hereunder. Failure on the part of the Noteholders to complain of any acts or failure to act or to declare an Event of Default, irrespective of how long such failure continues, shall not constitute a waiver by the Noteholders of their rights hereunder or impair any rights, powers or remedies on account of any breach or default by the Company.

21.Absolute and Unconditional Obligation of the Company.

(a)No provisions of this Senior Note shall alter or impair the obligation of the Company, which is absolute and unconditional, to pay the principal and interest on this Senior Note at the times, places and rate, and in the coin or currency, herein prescribed.

(b)No delay or omission of the Noteholder to exercise any right or remedy accruing upon any Event of Default shall impair such right or remedy or constitute a waiver of any such Event of Default or an acquiescence therein.

(c)Any insured depository institution which shall be a Noteholder or which otherwise shall have any beneficial ownership interest in this Senior Note shall, by its acceptance of such Note (or beneficial interest therein), be deemed to have waived any right of offset with respect to the indebtedness evidenced thereby.

22.No Sinking Fund; Convertibility. This Senior Note is not entitled to the benefit of any sinking fund. This Senior Note is not convertible into or exchangeable for any of the equity securities, other securities or assets of the Company or any subsidiary of the Company.

23.No Recourse Against Others. No recourse under or upon any obligation, covenant or agreement contained in this Senior Note, or for any claim based thereon or otherwise in respect thereof, will be had against any past, present or future member, employee, officer, or manager, as such, of the Company or of any predecessor or successor, either directly or through the Company or any predecessor or successor, under any rule of law, statute or constitutional provision or by the enforcement of any assessment or by any legal or equitable proceeding or otherwise, all such liability being expressly waived and released by the acceptance of this Senior Note by the Noteholder and as part of the consideration for the issuance of this Senior Note.

24.Notices. All notices to the Company under this Senior Note shall be in writing and addressed to the Company at 400 Park Avenue, 12th Floor, New York, NY 10022, Attention: Chief Financial Officer, or to such other address as the Company may notify to the Noteholder (the “Payment Office”). All notices to the Noteholders shall be in writing and sent by first-class mail to each Noteholder at his or its address as set forth in the Security Register.

25.Further Issues. The Company may, without the consent of the Noteholders, create and issue additional notes having the same terms and conditions of the Senior Notes provided the
