Explanation of Responses:

1. This amendment corrects Table I of the initial Form 3 filed January 14, 2025 by increasing the direct holding from 140,746 to 148,746 shares. The 11,665,694 indirect common shares and the two historical option holdings are unchanged.

2. The separate direct holding of 148,746 shares comprises 140,746 brokerage shares and 8,000 shares held through the transfer agent. The 8,000 shares were previously omitted; their inclusion is a correction, not a new acquisition.

3. Total outstanding common shares beneficially owned at the event date were 11,814,440: 148,746 directly and 11,665,694 indirectly. Derivative rights are reported separately in Table II. The relationship boxes reflect the reporting person's current positions. Ms. White became a director and Treasurer, Principal Financial Officer and Principal Accounting Officer on September 21, 2026. The holdings reported herein are as of January 2, 2025.
