The deferred cash adjustment resulting from the divestiture of an 81% interest in SMART Brazil is accounted for as a derivative financial instrument and is revalued at the end of each reporting period. The asset’s fair value, as of August 29, 2025, as measured on a recurring basis, was based on Level 2 measurements, including market-based observable inputs of interest rates and credit-risk spreads.
The fair values of our convertible notes, as measured on a non-recurring basis, were determined based on Level 2 measurements, including the trading prices of the notes.
During fiscal 2026, we received $93.0 million in cash advances from a customer pursuant to an arrangement to fund specified component purchases under the customer’s pre-existing supply chain program. Under the terms of
the arrangement, we are required to repay the full amount by the first week of December 2026. As of August 28, 2026, all funds received had been disbursed in accordance with the provisions of the arrangement, and our repayment obligation is included in other current liabilities in the accompanying Consolidated Balance Sheet. The carrying amount of the obligation approximates its fair value due to its short-term nature.
