Departure of President & Chief Executive Officer

On October 16, 2026, Daniel Brown notified the Company of his decision to resign as President & Chief Executive Officer, as a member of the Board of Directors of the Company (the “Board”), and from all other positions he holds with the Company and its subsidiaries, effective October 19, 2026, to pursue another professional opportunity. Because Mr. Brown is resigning from his employment with the Company without Good Reason (as defined in the Company’s Executive Severance Plan), he will not be entitled to any severance related payments or benefits.

Mr. Brown’s resignation was not the result of any disagreement with the Company on any matter relating to operations, policies, or practices.

Appointment of President & Chief Executive Officer and Director

On October 18, 2026, the Board appointed and elected Michael Lou as President & Chief Executive Officer of the Company and as principal executive officer under Section 16a-1(f) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), effective as of October 19, 2026. In addition, the Board appointed Mr. Lou as a director of the Company, effective as of October 19, 2026, to fill the vacancy resulting from Mr. Brown’s resignation from the Board. Currently, Mr. Lou will not serve on any committees of the Board.

Mr. Lou, age 52, previously served as the Company’s Executive Vice President, Chief Strategy Officer and Chief Commercial Officer from March 2024 through October 2026. Formerly, he was Executive Vice President and Chief Financial Officer of the Company from July 2022 to March 2024. Prior to the merger of Whiting Petroleum Corporation and Oasis Petroleum Inc., he served in roles including Chief Financial Officer and Executive Vice President for Oasis Petroleum Inc. and its subsidiaries, and President and Director of the general partner of Oasis Midstream Partners LP. Mr. Lou began his career in investment banking, where he spent 10 years holding positions of increasing responsibility at a number of global investment banks focused in the energy sector. Mr. Lou holds a Bachelor of Science in Electrical Engineering from Southern Methodist University.

There are no arrangements or understandings between Mr. Lou and any other persons pursuant to which he was selected to serve as the Company’s Chief Executive Officer. There are no family relationships between Mr. Lou and any director or executive officer of the Company, and Mr. Lou has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.

As of the date of filing of this Current Report on Form 8-K, the Company has not entered into any material plan, contract or arrangement or made any amendment thereto or made any grant or award with or to Mr. Lou in connection with Mr. Lou’s appointment as President & Chief Executive Officer. Mr. Lou remains subject to the Company’s Executive Severance Plan and Mr. Lou’s previously reported compensatory arrangements, grants and awards remain in effect. The Company intends to file an amendment to this filing containing the information called for by Item 5.02(c)(3) and/or Item 5.02(d)(5) of Form 8-K within four business days after the information is determined or becomes available.
