Mitsui & Co., Ltd.

Update on the Previously Announced Non-binding Proposal with Penske Corporation to Acquire Free-float Shares of Penske Automotive Group, Inc.

Mitsui & Co., Ltd. (head office: Tokyo; President and CEO: Kenichi Hori) and its wholly owned subsidiary, Mitsui & Co. (U.S.A.), Inc. (together, “Mitsui”), announced that Mitsui and Penske Corporation (“PC”), the latter acting on behalf of itself and its wholly owned subsidiary, Penske Automotive Holdings Corp. (collectively, the “PC-Mitsui Investors”), submitted a non-binding proposal (the “Proposal”) to acquire all of the free-float shares of common stock of Penske Automotive Group, Inc. (NYSE: PAG) (“PAG”) on July 22, 2026 (US time).

With respect to the Proposal, following the recommendation of a special committee comprised of independent and disinterested members of PAG’s Board of Directors, on October 14, 2026 (US time) PAG’s Board of Directors (with directors affiliated with the PC-Mitsui Investors recusing themselves from the deliberations and vote), approved the going-private merger involving PAG (the “Merger”). On October 15, 2026 (US time), Mitsui made a decision to acquire, together with PC, all of the free float shares of PAG. Accordingly, Motown Acquisition Corp. (“Buyer”), a Delaware corporation which was established for the purpose of this transaction by PC and Mitsui & Co., Ltd., and PAG entered into an Agreement and Plan of Merger (the “Merger Agreement”).

In connection with the acquisition of the free float shares to be acquired for cash in the Merger, Mitsui & Co., Ltd. and PC have committed to provide equity financing to Buyer of up to US$1.6 billion (240 billion yen) and US$600 million (90 billion yen), respectively. Following the completion of the Merger, Mitsui’s and PC’s ownership interests in PAG are expected to increase from 20.3% to approximately 36% and from 52.1% to approximately 64%, respectively.

This transaction was not included in the Medium-term Management Plan 2029 announced in May 2026. The transaction is currently expected to be completed in the last quarter of FY March 2027, subject to receipt of required approvals and satisfaction of other closing conditions. The impact on Mitsui’s consolidated financial results for FY March 2027 is expected to be limited. From FY March 2028 onward, Mitsui expects additional earnings contributions beyond the assumptions of Medium-term Management Plan 2029, reflecting the expected increase in our ownership interest.

1.

Objective of the transaction

PAG is a diversified international transportation services company and one of the world’s premier automotive and commercial truck retailers. PAG operates dealerships in the United States, the United Kingdom, Canada, Germany, Italy, Australia and Japan and is one of the largest retailers of commercial trucks in North America for Freightliner. PAG also distributes and retails commercial vehicles, diesel and gas engines, power systems and related parts and service principally in Australia and New Zealand. Mitsui has supported PAG’s growth strategy since its initial investment in PAG in 2001, and over that time PAG has succeeded in diversifying its business domains beyond passenger vehicle retail.

The automotive industry is experiencing a transformative period due to technological advancements. To appropriately respond to these changes, PC and Mitsui aim to sustain current operational excellence while innovating and growing PAG’s business. Mitsui will support PAG’s business development and create collaborative projects by leveraging its comprehensive capabilities and network in cross-functional business domains.

Outline of the Merger

  (1)

Merger structure

The Merger will be implemented through the Merger of Buyer, a newly formed Delaware corporation owned by PC and Mitsui & Co., Ltd. and established for purposes of the transaction, with and into PAG, with PAG continuing as the surviving corporation. Pursuant to the Merger Agreement, shares of PAG common stock held by the PC-Mitsui Investors will remain outstanding, while other outstanding shares of PAG common stock (other than certain shares to be cancelled and shares in respect of which appraisal rights have been properly exercised) will be converted into the right to receive cash consideration as described below. Shares of Buyer will be converted into newly issued shares of PAG common stock at the effective time of the Merger. Following completion, PAG will be privately held by the PC-Mitsui Investors. This transaction is subject to customary closing conditions specified in the Merger Agreement, including (a) approval at a shareholders’ meeting convened by PAG by (i) the holders of a majority of the outstanding shares of PAG common stock entitled to vote thereon and (ii) a majority of the votes cast by disinterested stockholders and (b) receipt of required regulatory approvals. Completion of the Merger is not subject to a financing condition.
