WHEREAS, EVERGREEN FIXED INCOME FUND, a statutory trust organized under the laws of the State of Delaware (hereinafter referred to as the “Trust”) expects to file a Registration Statement on Form N-2 and periodically file amendments to its Registration Statement with the Securities and Exchange Commission under the provisions of the Securities Act of 1933, as amended and the Investment Company Act of 1940, as amended; and
WHEREAS, the undersigned is a Trustee of the Trust.
