Item 5.07 Submission of Matters to a Vote of Security Holders.
On September 29, 2026, Richtech Robotics Inc., a Nevada corporation (the “Company”) held its 2026 Annual Meeting of Stockholders (the “Annual Meeting”). At the Annual Meeting, the Company’s stockholders voted on the following two proposals:
Proposal 1 - Election of Directors
Saul Factor and John Shigley were elected to serve on the Board of Directors (the “Board”) for three-year terms that expire at the 2029 Annual Meeting of Stockholders, or until their earlier death, resignation or removal and their successors are elected and qualified. The final results of the voting were as follows:
