Item 5.02 - Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 28, 2026, Jonathan Vassil notified Toast, Inc. (the “Company”) of his decision to step down as the Company’s Chief Revenue Officer, effective December 31, 2026 (the “Effective Date”). Mr. Vassil’s resignation was a result of his planned retirement and not due to any disagreement relating to the Company’s management, policies or practices. Following the Effective Date, Mr. Vassil will continue as a non-executive employee of the Company through April 2, 2027.
