| Amendment Description | Hall Chadwick Acquisition Corp. (the “Company”) is filing this Amendment No. 2 on Form 10-Q/A (this “Amendment No. 2”) to amend its Quarterly Report on Form 10-Q for the quarterly period ended June 30, 2026 (the “Original Form 10-Q”), as originally filed with the Securities and Exchange Commission (the “SEC”) on August 19, 2026, as previously amended by Amendment No. 1 on Form 10-Q/A filed with the SEC on September 23, 2026 (“Amendment No. 1”). Amendment No. 1 was inadvertently filed prior to the Company receiving final sign-off from the independent registered public accounting firm. In connection with this Amendment No. 2, the Company corrected an immaterial $1 rounding difference in Total Shareholders’ Deficit as of December 31, 2025, revised Note 2 to reflect a recent revision to financial statements, and made minor formatting corrections to the condensed consolidated financial statements. These corrections do not affect total assets, total liabilities, net income, or cash flows for any period presented. The Company has since received final sign-off from the independent registered public accounting firm. Pursuant to Rule 12b-15 under the Securities Exchange Act of 1934, as amended, this Form 10-Q/A also contains new certifications by the Company’s principal executive officer and principal financial officer, filed as exhibits hereto.
