Explanatory Note Regarding Voluntary Filing

 

This Current Report on Form 8-K is being filed voluntarily by ProText Mobility, Inc. (OTC PINK/OTCID: TXTM) (the "Company") pursuant to Item 8.01 of Form 8-K under the Securities Exchange Act of 1934, as amended (the "Exchange Act").

 

The Company is a former SEC reporting company (CIK No. 0001163573, Commission File No. 001-31590) that is voluntarily submitting this Form 8-K to introduce into the public record on the SEC's EDGAR system a press release and corporate disclosure disseminated through GlobeNewswire and the OTC Markets news channel.

 

This voluntary filing is being made as part of the Company's ongoing efforts to enhance transparency, strengthen its public disclosure practices, and prepare for a potential uplisting to a national securities exchange. The press release attached hereto as Exhibit 99.1 was originally published and publicly disseminated on 09/28/2026.

On 09/28/2026, the Company issued a press release titled "ProText Mobility Issues Significant Inter-Quarter Shareholder Update: ABSA Confirms Inaugural Digital-Asset Custody Pilot as TXTM Advances Global RWA and Uplist Strategy" providing an inter-quarter shareholder update regarding the Chairman's confirmed inaugural participation in ABSA's digital-asset custody pilot, the Company's SVLT and real-world asset initiatives, international relationships, financial reporting programme and intended regulated-exchange uplist strategy.
