On September 30, 2026, FactSet Research Systems Inc. ("FactSet" or the "Company") issued a press release announcing its results for the three and twelve months ended August 31, 2026. A copy of the press release is furnished as Exhibit 99.1 hereto and incorporated by reference herein. The information furnished pursuant to this Item 2.02 (Results of Operations and Financial Condition), including Exhibit 99.1, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, and shall not be deemed to be incorporated by reference into any filing under the Securities Act of 1933, as amended (the "Securities Act"), or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.

On September 24, 2026, the Board of Directors (the “Board”) of FactSet approved and adopted amendments to the Company’s amended and restated by-laws (as amended and restated, the “Amended and Restated By-laws”), which became effective the same day. The amendments contained in the Amended and Restated By-laws:

•allow the Board to delegate to its committees all the powers and authority of the Board in the management of the business and affairs of the Company as allowed under the Delaware General Corporation Law;

•update certain procedural and disclosure requirements relating to the information and timing requirements of the advance notice of nominations and other business at meetings of shareholders;
