| Amendment Description | This Amendment No.1 (the “Amendment”) amends the Annual Report on From 10-K of Gulf Resources, Inc. (the “Company “) for the fiscal year ended December 31, 2025, as filed with the Securities and Exchange Commission on August 17, 2026 (the “Original Filing”). This Amendment is being filed in response to comment letter dated September 17, 2026 (the “SEC Comment Letter”) received from the staff of the SEC to correct the disclosures in Item 1. Business and Item 9A. Controls and Procedures in the Original Filing. No other information in the Original Filing was incorrectly presented, and this Amendment should be read in conjunction with the Original Filing. In accordance with Rule 12b-15 of the Securities Exchange Act of 1934, as amended, this Amendment includes new certifications required by Section 302 and Section 906 of the Sarbanes-Oxley Act of 2002, as amended, dated as of the filing date of this Amendment. Other than as expressly described above, no changes have been made to the Original Filing. This Amendment does not reflect events occurring after the Original Filing. | ||
