Attached hereto and incorporated herein is Foresight Autonomous Holdings Ltd.’s (the “Registrant”) press release issued on September 28, 2026, titled “Foresight Plans to Acquire 50.01% of a 270 MW Capacity European Data Center Development Company,” which relates to the entry into a non-binding term sheet for the proposed acquisition of a 50.01% controlling interest by the Registrant in a company advancing data center development projects in Poland (“Data Centers Company”). Eli Yoresh, the Registrant’s Chief Financial Officer, owns a 10% stake in the Data Centers Company. A copy of the press release is furnished herewith as Exhibit 99.1.
