Cybersecurity Risk Management and Strategy

 

We recognize the importance of cybersecurity in maintaining the confidentiality, integrity and availability of our information systems and in protecting our customers, employees, business operations and stockholders. We maintain processes designed to assess, identify and manage material risks from cybersecurity threats as part of our overall risk management activities. These processes include, among other things, network monitoring, access management controls, security awareness practices, incident response procedures and periodic evaluations of cybersecurity risks affecting our information systems.

 

Management is responsible for overseeing the assessment and management of cybersecurity risks. Management regularly evaluates potential cybersecurity threats, monitors the effectiveness of cybersecurity controls and response procedures, and assesses whether identified cybersecurity risks or incidents could materially affect the Company.

 

Cybersecurity Governance

 

Our Board of Directors oversees risks from cybersecurity threats as part of its broader oversight responsibilities. The Board does not maintain a separate cybersecurity committee. Management periodically reports to the Board regarding significant cybersecurity risks, cybersecurity initiatives and any material cybersecurity incidents. In the event of a significant cybersecurity incident, management is responsible for evaluating the nature and potential impact of the incident and for informing the Board, as appropriate.

As of June 30, 2026, we are not aware of any cybersecurity incidents that have materially affected, or are reasonably likely to materially affect, our business strategy, results of operations or financial condition.
