The Reporting Person is the managing member of Apothecary Capital and may be deemed to share voting, investment and dispositive power with respect to the securities held by Apothecary Capital. The Reporting Person disclaims beneficial ownership of such shares for purposes of Section 16 of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), except to the extent of his pecuniary interest therein, if any.
