As previously disclosed on April 14, 2026, Lion Wealth Management Limited (“Lion Wealth”), a wholly owned subsidiary of Lion Group Holdings Ltd. (the “Company”), entered into an exclusivity agreement with Skyfame Realty (Holdings) Limited (In Liquidation) (Stock Code: 00059.HK) (“Skyfame”) and its joint and several provisional liquidators, in connection to a proposed restructuring of Skyfame to enable resumption of trading of Skyfame’s shares on The Stock Exchange of Hong Kong Limited.
On September 23, 2026, the Company issued a press release in connection with the announcement made by Skyfame on September 18, 2026 regarding updates on its resumption progress.
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
