Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 18, 2026, Jason Williams, Executive Vice President and Chief Administrative Officer of WaterBridge Infrastructure LLC (the “Company”), who currently serves as the Company’s principal accounting officer, notified the Company of his intent to retire from the Company in July 2027. Mr. Williams will continue to serve as the Executive Vice President and Chief Accounting Officer, and as the principal accounting officer, of the Company until a successor is identified. Mr. Williams also notified the Company that he intends to transition to an advisory role with the Company following his retirement in order to, among other matters, ensure a smooth succession.

Mr. Williams’ retirement is not the result of any disagreement with the Company’s operations, policies or practices.
