Vishal Garg (“Mr. Garg”), together with the other participants named herein (collectively, the “Garg Group”), has filed a definitive consent statement and an accompanying GREEN consent card with the Securities and Exchange Commission to be used to solicit written consents with respect to, among other things, the removal of five (5) directors on the board of directors of Better Home & Finance Holding Company, a Delaware corporation.
Item 1: On September 17, 2026, Mr. Garg posted a video to social media. A transcript of such video is copied below:
September 17, 2026: The first thing we're going to do when we return is work on selling the UK bank and closing that. The second thing we're going to do is put in place a stock buyback plan once we've closed the UK bank. The third thing we're going to do is work to close the five big partners we were working on before I got ousted. The fourth thing we're going to do is optimize our sales and operating funnels to improve conversion. And the fifth thing that we're going to do is get the company to profitability and then continue to grow that and actually monetize the vision that we've built with the best AI in the mortgage industry.
