The issuance was made pursuant to a Settlement of Debts Agreement (“SDA Agreement”) and related two-year Promissory Note originally entered into among the Company, CSB, and Borneo Oil Corporation Sdn Bhd, under which the indebtedness could be settled through the issuance of Common Stock.
