EXPLANATORY NOTE
On September 10, 2026, Marti Technologies, Inc. (the “Company”) issued a press release announcing that the Board of Directors (the “Board”) of the Company has increased authorization under the Company’s share repurchase program (the “Repurchase Program”) from $2.5 million to $5.0 million and extended the Repurchase Program through April 26, 2027. The Board maintained the ceiling price of $6.00 per share for the share repurchases.
