On September 4, 2026, former US Senator Joseph Manchin III notified Ramaco Resources, Inc. (the “Company”) of his decision to resign from the Board of Directors of the Company (the “Board”) and from his positions on all committees of the Board, with his resignation effective that same day. Senator Manchin was a member of the Environmental, Health, and Safety Committee, the Government Relations Committee, and Chair of the Technology Committee at the time of his resignation. Senator Manchin’s resignation was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
Item 7.01. Regulation FD Disclosure.
On September 10, 2026, the Company issued a press release (the “Press Release”) announcing Senator Manchin’s resignation from the Board. A copy of the Press Release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
