Under normal circumstances, the Fund invests at least 80% of its net assets, plus the amount of any borrowings for investment purposes, in MLCC &amp;amp; Electronic Components Companies and/or derivative instruments that provide economic exposure to MLCC &amp;amp; Electronic Components Companies. &lt;/span&gt;&lt;/div&gt;&lt;div style="text-align:justify"&gt;&lt;span&gt;&lt;br/&gt;&lt;/span&gt;&lt;/div&gt;&lt;div style="text-align:justify"&gt;&lt;span style="color:#000000;font-family:'Times New Roman',serif;font-size:10pt;font-weight:400;line-height:120%"&gt;The Fund&#x2019;s investment adviser, Global X Management Company LLC (the &#x201c;Adviser&#x201d;), primarily considers MLCC &amp;amp; Electronic Components Companies for investment based on their inclusion in the Akros MLCC &amp;amp; Electronic Components Index (the &#x201c;Reference Index&#x201d;). However, the Fund will not seek to replicate the Reference Index, as the Adviser actively manages the Fund and exercises full investment discretion in constructing and managing the Fund&#x2019;s portfolio. For example, to the extent consistent with the Fund&#x2019;s investment objective and policies, the Adviser may, in its sole discretion and among other things: (i) determine whether it is more favorable for the Fund to obtain exposure to a security in the Reference Index directly or synthetically; (ii) reallocate the Fund&#x2019;s portfolio holdings more frequently than the Reference Index is rebalanced when the Adviser believes doing so is in the Fund&#x2019;s interest; and (iii) invest in securities not currently included in the Reference Index to the extent necessary for the Fund&#x2019;s portfolio to comply with applicable regulatory requirements. Swap agreements may be negotiated bilaterally and traded over-the-counter (&#x201c;OTC&#x201d;) between two parties or, in some instances, must be transacted through a futures commission merchant and cleared through a clearinghouse that serves as a central counterparty. Risks associated with the use of swap agreements are different from those associated with ordinary portfolio securities transactions, due in part to the fact they could be considered illiquid and many swaps trade on the OTC market. It may not be possible for the Fund to liquidate a swap position at an advantageous time or price, which may result in significant losses. Swaps are particularly subject to counterparty credit, correlation, valuation, liquidity and leveraging risks. Certain standardized swaps are subject to mandatory central clearing. Central clearing is intended to reduce counterparty credit risk and increase liquidity, but central clearing does not make swap transactions risk-free. The Fund may be required to post margin or collateral with a clearinghouse or custodian. Operational failures and/or improper segregation of assets held by a clearinghouse or custodian may affect the Fund&#x2019;s rights under a swap agreement and/or result in a loss of assets posted as margin or collateral. As a RIC, the Fund will not be subject to U.S. federal income tax on the portion of its net investment income and net capital gain that it distributes to shareholders, provided that it satisfies certain requirements of the Code. If the Fund does not qualify as a RIC for any taxable year and certain relief provisions are not available, the Fund&#x2019;s taxable income will be subject to tax at the Fund level and to a further tax at the shareholder level when such income is distributed. The Fund will seek to comply with the asset diversification test applicable to a RIC (the &#x201c;Diversification Requirement&#x201d;). The determination of the value and the identity of the issuer of derivatives, such as swap agreements, is often unclear for purposes of the Diversification Requirement. Although the Fund intends to carefully monitor its investments in derivatives to ensure that it is adequately diversified under the Diversification Requirement, there are no assurances that the Internal Revenue Service (&#x201c;IRS&#x201d;) will agree with the Fund&#x2019;s determination of the issuer and valuation of such derivatives under the Diversification Requirement with respect to such derivatives.
