Item 8.01. Other Events.
As previously disclosed, on July 26, 2026, Luxfer Holdings PLC, a public limited company incorporated in England and Wales (the “Company”), entered into a Transaction Agreement with Double Eagle Acquisition Buyer, Inc., a Delaware corporation (“Buyer”) and newly formed holding company owned by funds managed by Wynnchurch Capital, L.P., pursuant to which, upon the terms and subject to the conditions set forth therein, Buyer will acquire the entire issued share capital of the Company (the “Transaction”), pursuant to a court sanctioned English law scheme of arrangement under Part 26 of the Companies Act 2006.
The waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, expired at 11:59 p.m. EDT on September 8, 2026 thereby satisfying one of the closing conditions of the Transaction. The Transaction remains subject to other customary closing conditions, including, without limitation, approval by the Company’s shareholders and receipt of certain other regulatory approvals.
Additional Information about the Transaction and Where to Find It
On August 26, 2026, in connection with the proposed Transaction between the Company and Buyer, the Company filed with the Securities and Exchange Commission (“SEC”) a preliminary proxy statement on Schedule 14A. Additionally, the Company may file other relevant materials with the SEC in connection with the proposed Transaction. Investors and securityholders of the Company are urged to read the proxy statement (which will include notices convening the scheme meeting and the general meeting of the Company’s shareholders and an explanatory statement in respect of the scheme of arrangement of the Company, in accordance with the requirements of the U.K. Companies Act 2006) and any other relevant materials filed or that will be filed with the SEC, as well as any amendments or supplements to these materials and documents incorporated by reference therein, carefully and in their entirety when they become available because they contain or will contain important information about the proposed Transaction and related matters.
